Note that the corporation must not be doing business and must owe no obligations. Note also that dissolution by affidavit leaves the shareholders personally liable for debts or claims existing at the time of the affidavit or thereafter arising. This form assumes that stock was issued to two shareholders, but the statute requires that each shareholder sign the affidavit. The statute also provides that if no shares have been issued, the incorporator(s) execute the affidavit.
