Non-Disclosure Agreement Between Author of Film Script and Potential Translator Agreement made on the ___ day of ___________________, 20___, between _____________________________________________ (Screenwriter) of ___________ ________________________________________________________________________ ___________________________________ (street address, city, county, state, zip code) , referred to herein as Screenwriter, and ________________________________________ (Translator) of ___________________________________________________________ ________________________________________________________________________ (street address, city, county, state, zip code) , referred to herein as Translator. Whereas, Screenwriter has written a film script entitled _____________________ ________________________________________________________________________ ____________________________________ (Title) , hereinafter referred to as the Script, which is about ___________________________________________________________ ________________________________________________________________________ ________________________________________________________________________ ________________________________________________________________________ ________________________________________________________________________ _____________________________________________________ (brief summary); and Whereas, it will be necessary to translate said Script from Italian to English; and Whereas, Translator desires to look at said Script and quote a price to Screenwriter for possibly translating said Script; Now, therefore, for and in consideration of the mutual covenants contained in this agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows : 1. Translator acknowledges that the Script is a proprietary product of Screenwrite r. All applicable copyrights are retained exclusively by Screenwriter , and Translator shall acquire no rights or interests in the Script by virtue of reading and examining the Script as aforesaid. 2. Translator acknowledges that the confidentiality of the Script is essential to the business of Screenwriter , and Translator hereby agrees not to disclose to any person whatsoever at any time during or after reading, examining, and/or translating the Script any aspect of the Script or to permit any person whatsoever to examine or make copies of any part of the Script in its translated or untranslated form. 3. Translator acknowledges that disclosure of any information regarding the Script will give rise to irreparable injury to the Screenwriter , inadequately compensable in damages. Accordingly, the Translator hereby consents to the obtaining by the Screenwriter of injunctive relief against the breach or threatened breach of this Agreement. 4. The Translator agrees that he will not copy or permit to be copied any part of the Script except as is necessary to translate the Script. Any such copies shall be destroyed upon completion of the translation.
