2.05 Due Diligence List
If a joint venture partner will convey assets or license technology to the venture, the other partner is
likely to want to conduct diligence to confirm that the assets are in good condition, and that they
constitute everything that the venture will need to operate the venture. In general, a standard due
diligence with relatively modest redrafting will suffice.
The following is a form of general due diligence checklist. It is designed to capture information
about the company as a whole. This form would be most useful in a deal in which all of a
company's businesses would be contributed to a new venture. When the company only plans to
contribute assets related to one of several businesses, a due diligence checklist with a narrower
scope would be appropriate.
