Multimedia Publicity and Privacy Release Agreement made on the __________________ (date) , between ___________________ (Name of Releasor) , a corporation organized and existing under the laws of the state of ___________________, with its principal office located at ______________________________ __________________________________________________________ (street address, city, state, zip code) , referred to herein as Releasor , and _____________________ (Name of Developer) , a corporation organized and existing under the laws of the state of ________________, with its principal office located at _________________________________ __________________________________________________________ (street address, city, state, zip code) , referred to herein as Developer . Whereas, Developer desires to incorporate certain Materials identified below in one or more of its multimedia works (the Works ); and Whereas, Releasor is willing to release said Materials pursuant to the terms of this Agreement; Now, therefore, for and in consideration of the mutual covenants contained in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Releasor hereby grants Developer permission to use, adapt, modify, reproduce, distribute, publicly perform and display, in any form now known or later developed, the Materials specified in this release throughout ( e.g., North America ) ______________, by incorporating them into one or more Works and/or advertising and promotional materials relating thereto. 2. Materials to be Released This release is for the following Materials: (the following are sample categories)  Name  Voice  Visual likeness (on photographs, video, film, etc.)  Photographs, graphics, text copy or other artwork as specified  Images  Film, videotape or other audiovisual materials 3. Warranties Releasor warrants and represents that the Materials identified above are either owned by Releasor, are original to Releasor, or Releasor has full authority from the owner of the Materials to grant this release. 4. Releasor releases Developer, its agents, employees, licensees and assigns from any and all claims Releasor may have now or in the future for invasion of privacy, right of publicity, copyright infringement, defamation or any other cause of action arising out of the use, reproduction, adaptation, distribution, broadcast, performance or display of the Works. 5. Releasor waives any right to inspect or approve any Works that may be created containing the Materials. 6. Releasor understands and agrees that Developer is and shall be the exclusive owner of all right, title and interest, including copyright, in the Works, and any advertising or promotional materials containing the Materials, except as to preexisting rights in any of the Materials released hereunder. 7. Consideration On execution of this Agreement, Developer agrees to pay to Releasor the sum of $___________________. 8. Governing Law This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of ________________. 9. Notices Unless provided herein to the contrary, any notice provided for or concerning this Agreement shall be in writing and shall be deemed sufficiently given when sent by certified or registered mail if sent to the respective address of each party as set forth at the beginning of this Agreement. 10. In this Agreement, any reference to a party includes that party's heirs, executors, administrators, successors and assigns, singular includes plural and masculine includes feminine.
