articles of organization are kind of like the permission slip to start an LLC and that's because before you can start an LLC you are required to file some paperwork with your state government because without it your LLC will not be officially recognized and that document is the articles of organization now don't let the name fool you because that document is not as mysterious as it sounds it's a simple document that provides basic information about the LLC like the name of the company the name of the members aka the owners of the LLC and the registered agent for the LLC which is basically the person who will get documents and receive documents on behalf of the LLC and it will also include things like the address for the LLC and the business purpose of that LLC uh think of it like this you're telling the government hey we want to start a business this is who's running it this is what we're going to do and this is where it's located and this document is typically created online by going to the Secretary of State's website for your particular State and it takes as little as three minutes to complete now some people will attempt to charge you to create this document for you but don't fall for it okay it's pretty simple and easy to set up and you can do it online now after the state approves your because of organization your LLC becomes a legally recognized entity separate from its owners now next on the list is the operating agreement if the articles of organization is the permission slip to start your LLC the operating agreement is like the rule book for how your LLC will operate and there are a few things you want to include in it the LLC member names how profits and losses will be distributed how does a member enter the LLC or what happens if a member wants to leave the LLC who in under what circumstances will someone be able to make decisions on behalf of the LLC and many many other things now an operating agreement is not necessary in all states to create and form an LLC but it's a good idea to have one anyway to avoid things getting messy and and that's not the only reason if you want to raise capital for your business investors will want to see your operating agreement if you have a dispute with your members or Partners in the LLC that issue can be solved by following the rules set forth in your operating agreement and if you go to court that operating agreement is one document that can help you prove that your LLC is a legitimate company and to make it easier I'll leave a link in the description of a platform that I recommend personally to help you create this document however llc's with more intricate structures may want to create something a little more custom now the next document on our list is the employee handbook now if you plan to hire employees sometime in the future the employee handbook is one of those things that are absolutely necessary for your loc and I want you to think of that handbook as as a guy that provides clear instructions on how your company operates in the procedures within it and on top of that it's also a great way to help refine and Define your company's vision and Mission to your employees now most handbooks will include some information right like your mission your vision and policies for things like PTO attendance dress code and the code of conduct for your business Additionally you will usually find information on employee benefits like health care and retirement plans look the people on your team want to know a couple of basic things what they can and can do what's expected of them and what they can expect from their employer and the employee handbook answers all of those questions now if we talk about the employee handbook it's only right we talk about the employment contracts because if you're looking to grow your LLC which I know you are then you can do everything forever so you're going to need to hire people in the future but don't just go out and start hiring because every LLC owner should develop employment contracts before they hire their first employee and that's because employment contracts establish the employer and employee relationship and explains both parties rights and responsibilities and having a well-written Employment contract can save you if a dispute arises between you your employee and God forbid but the labor department so include things like job duties compensation start and end dates company policies and relevant details now those documents have to do with hiring let's talk about some documents that will help you protect your LLC and the Beautiful business that you're building and with that we have the non-disclosure agreement picture this you've put in countless hours of Blood Sweat tears money time all of these things into building your business and the last thing you want is your Trade Secrets your secret sauce to go with your employees or to your competitors and this is where the non-disclosure agreement comes into play short for NDA it's a legal agreement that when done correctly can prevent employees contractors partners and other parties from disclosing confidential company information because the NDA defines what information must stay confidential and the consequences if it leaks so consider using them when sharing your business plan product prototypes and in your employees contracts and once again I'll leave a link in the description for this document as well so you have your NDA the next document you need is a non-compete agreement now this document is pretty simple it's a contract between an employee and the employer and in some cases even the partners in the loc but in general a non-compete agreement prevents employees from competing with your LLC while employed with your LLC or even after employment because by signing a non-compete employees agree to not start a business and then steal your customers and offer similar products or services and business owners typically provide non-competes to high-ranking Executives inside the company and or employees with access to pertinent information but I use them for every employee that I hire but there's something that you should know because non-competes are only enforceable if they are reasonable in time and in scope so be sure to include specific time frames and even Geographic locations within your non-competes because you legally can't tell someone that they can't earn a living in their field for say the rest of their life okay next we have the employee termination letter look in some states you don't need any reason at all to fire someone at will but it's always good practice to terminate someone with an employment termination letter because this document will help you in the employment relationship while minimizing legal disputes so in that letter include things like the employee name their position when they were terminated and why they were terminated now it's essential to be professional and concise when writing a termination letter you don't need to go deep into detail about the employee and everything they did wrong simply State the facts keep it short and most of all keep it polite now the next document on our list is the sales agreement now a sales agreement is a simple contract between a buyer and a seller and it's especially necessary for service-based LLCs this contract outlines the sales terms so price quantity and delivery date and these Agreements are beneficial in two ways first it protects both parties if something goes wrong secondly it sets expectations so no one should be surprised and you'll likely want to start with a quality template and even get a lawyer to look at it if it's complex if another party chooses to not uphold their part of the agreement then
