§ 14.04 Announcement Provisions with Regard to Employee Termination Page 449 Example 1 [First Approach] ABC and Jones have agreed upon the following public announcement: Jones Leaves ABC Company After eighteen years with ABC Company, Jim Jones announces that he has left the firm to pursue other interests. Jim Jones joined ABC Company in 1962. He started as General Manager of ABC’s largest wholly owned distribution company, spent time as a Merchandise Manager in ABC’s corporate offices and then moved to ABC’s North American headquarters as Vice President in 1975. Jim was promoted to Senior Vice President in the last several years, responsible for over 400 people in various operating locations throughout North America. Jim has not yet announced his future plans. Page 450 Example 2 [Second Approach] ABC and Jones have agreed upon the following public announcement: Jones Leaves ABC Company Mr. Jones will be leaving ABC Company. While Jim was at ABC he had a reputation for ingenuity and professionalism. Jim was the first at ABC to receive the X award given out by the National Conference of X. In addition, Jim was the top producer of sales for the past six years. His integrity and hard work will be greatly missed. Page 451 Example 3 [Third Approach] ABC and Jones have agreed upon the following public announcement: Jones Leaves ABC Company ABC announced today that it is in the midst of change. Mr. Jones, a top sales producer for the past six years, has decided to pursue alternative career plans. His hard work and personality will be greatly missed. Replacing Jim Jones will be Sam Smith. Sam comes to ABC from XYZ where he was the sales associate for New York City. Sam will be a valuable asset to the Company. Example 4 [Fourth Approach] The Company shall acknowledge Mr. Jones’ announcement of his retirement or resignation and publicly compliment him for his service to the Company. Page 452 Example 5 The Executive may announce his intention to resign to the staff and, jointly, with the Company’s Chairman, to the Board. If the Executive makes this announcement, the Executive shall review the contents of that announcement with the Chairman prior to making the Executive’s announcement. Example 6 The Executive and the Company agree that the Company’s President shall make the following announcement to all Company employees on or prior to the second business day after the date of this Agreement: “I want to let everyone know that after serving at the XYZ Company for twenty years in various capacities, John Jones has chosen to resign from the Company, effective this week, to pursue other interests. I am sure that you will all join me in wishing John the very best in his future endeavors.” Page 453 Example 7 The parties recognize that the existence of a controversy between them may have become known both in the industry served by [Employer] and in the community in [location]. Consequently, the parties realize they each may receive inquiries from time to time as to the nature and outcome of the controversy. Each party agrees not to disclose the nature of the controversy. However, both parties acknowledge that their professional and personal relationships may require a response to queries. Accordingly, it is not a breach of this Agreement for either party to respond to inquiries as follows: “We may have had some differences, but they have been resolved in an amicable manner.” Page 454 Example 8 Employee and Employer agree to keep the terms of this Agreement strictly confidential. Employee may reveal the terms of this Agreement to [his] [her] spouse, legal counsel, tax advisor or taxing authorities. Employer may reveal the terms of this Agreement to its counsel. As to all others who inquire about Employee’s employment with Employer or this Agreement, Employee and Employer agree to respond, if at all, only with the statement that Employee’s disputes and claims were resolved to [his] [her] satisfaction.
