CONFIDENTIALITY AGREEMENT (Addressed to Party Presenting Data and/or Information) Re: (Legal Description of Prospect Area that is the subject of this Agreement) Dear ____: When signed by you, this letter represents our agreement with respect to the following: You wish to present certain data and information to us ("the Recipient") relating t o the lands described above (the "Prospect"); and you represent that you have a substantial interest i n the Prospect, and that you are showing the data and information to interest Recipient in participating in the Prospect. You represent that the data and information presented to Recipient is confidential. However, any of the data and information which is in the public domain, or which is in Recipient's possession or control, or which later lawfully comes into Recipient's possession or control, will not be considered confidential. For a period of ____ following the date of this Agreement, Recipient agrees to keep the data and information you present confidentia l with respect to third parties, but Recipient will not be liable to you, or to any other pa rty participating with you in the Prospect, for breach of the confidentiality of the data and information unl ess the breach is the result of willful misconduct. You recognize that whether or not Recipient agrees to participate in the Prospect or reaches any other agreement with you regarding the Prospect, Recipient shall be under no obligation to pay for or otherwise compensate you or anyone for its use of the data and information, and Recipient shall be free to make in-house use of the data and informat ion at its sole discretion. You recognize that Recipient may presently have or be considering acquiring interest s in the vicinity of the Prospect, including all or a portion of the Prospect. Nothing contained i n this Agreement shall prevent or restrict Recipient's right to compete with you and your dire ct and indirect partners, subsidiaries, or affiliates in Recipient's ordinary course of its business i n matters including, but not limited to, acquisition of leases and rights and interest s in oil and gas, regardless of whether those leases, interests or rights are in the area of or within to t he Prospect, or on or around other properties or areas where Recipient or you presently have interests. You understand and agree that Recipient will not review your data and information without your agreeing to the terms set forth in this Agreement, and the provisions of this Agreement can only be waived or modified in writing which makes explicit reference to this Agreement.
