In consideration of the matters described above and of the mutual benefits and obligations set forth in this Agreement, the parties agree as follows: 1. Assignor will transfer to prospective Assignee all assignable licenses which are currently used in connection with the Business. 4. Assignee will assume all rights, duties, and liabilities of the Lease Agreement to be performed by Assignor, including the duty to pay all rental and other charges required under the provisions of the Lease Agreement. Assignee will hold prospective Assignor harmless from any damages or expenses incurred by Assignor after the effective date of this Assignment under the Lease Agreement provisions. 5. If Assignee should decide to surrender the Lease Agreement to Lessor during its term, Assignee shall advise Assignor of that determination and intention prior to any surrender in order that Assignor may, if desired, assume the Lease Agreement for the remainder of its term. Assignor will notify Assignee of the intention to take over the premises or the refusal to do so. On refusal by Assignor, Assignee may proceed to surrender the premises. 6.
