Agreement between Matchmaking Service and Customer Agreement made on the ____________________ (date) , between _________________ (Name of Client) of ____________________________________________________________ _________________ (street address, city, county, state, zip code) , referred to herein as ______________________ (Client) , and __________________________________ (Name of Matchmaking Service) , a corporation organized and existing under the laws of the state of _________________, with its principal office located at ________________________________ _____________________________________ (street address, city, county, state, zip code) , referred to herein as Service . Whereas, Service is in the business of introducing single adults from different countries to each other; and Whereas, the undersigned wants to engage said Service ; and Whereas, Service requires that this Agreement be executed by its clients; Now, therefore, for and in consideration of the mutual covenants contained in this agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Limitation of Liability. A. Incidental Damages and Aggregate Liability. In no event will Service be liable for any incidental, special, consequential or indirect damages arising out of or relating to the use of the service by Client as provided by Service . B. No Liability for Failure of Service to take any Action. To the maximum extent permitted by applicable law, in no event will Service be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential and/or incidental, arising out of or relating to the conduct of Client or any of Service’s other client’s in connection with the use of the services of Service , including without limitation, bodily injury, emotional distress, and/or any other damages resulting from communications from or meetings with other clients. 2. Indemnification. Client agrees to indemnify, defend and hold harmless Service , its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorneys’ fees) relating to or arising out of Client’s introduction to other clients by or through Service . 3. Governing Law. This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of _________________. 4. Entire Agreement. This Agreement shall constitute the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this Agreement shall not be binding upon either party except to the extent incorporated in this Agreement. 5. Modification of Agreement. Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement shall be binding only if placed in writing and signed by each party or an authorized representative of each party.
