Whereas, Contractor is in the business of performing mobile video event security for special events, both commercial and public; and Whereas, Client is sponsoring such an event being advertised as (describe or give name of event) _______________________________________________________ on __________________________________________________________________ (dates) at ______________________________________________________________________ ________________________________________________________________________ _______________________________________________________ (street address, city, county, state, zip code), hereinafter called the Event ; Now, therefore, for and in consideration of the mutual covenants contained in this agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Service to be Performed Contractor will furnish video surveillance event security, hereafter called Security Services , at said Event. The number of surveillance units and personnel to be provided, their general location, the hours of operation, the rates of compensation, and any special instructions describing the nature and scope of the Security Services is specified in the attached schedule (Exhibit A) initialed by both parties. 2. Supervision of Personnel Contractor agrees that it will be responsible for the direct supervision of its personnel and surveillance units throughout the Event. 3. Security Standards Contractor agrees that the Security Services covered by this Agreement will be performed in accordance with acceptable mobile video security practices and standards. 4. Insurance During the term of this Agreement , Contractor will carry and maintain insurance coverages in full force, evidence of which will be furnished to Client on written request. This insurance coverage will include worker's compensation insurance as required by the laws of the state of _____________________________________________ covering all persons employed by Contractor, and general liability coverage for personal injury and property damage. 5. Indemnification of Client Contractor will indemnify Client from and against any and all losses or damages which Client may sustain by reason of damage to property or injury to or death of any person or for any losses or damages sustained by Client and caused by the negligence of Contractor while engaged in the services arising out of and within the scope of the performance of this Agreement, other than those that arise in part out of the contributory negligence of Client and other than those amounts paid in settlement of any claim or litigation effected without Contractor's consent or approval. 6. Video Surveillance Personnel -- Employees of Contractor The personnel furnished by Contractor pursuant to this Agreement will be Contractor's employees, and Contractor will exercise complete control over their conduct and will pay all wages, expenses, social security taxes, federal and state unemployment insurance, and any similar taxes relating to the employees. Contractor and Client intend that the relationship created between them by this Agreement is that of independent contractor and client. 7. No Waiver The failure of either party to this Agreement to insist upon the performance of any of the terms and conditions of this Agreement, or the waiver of any breach of any of the terms and conditions of this Agreement, shall not be construed as subsequently waiving any such terms and conditions, but the same shall continue and remain in full force and effect as if no such forbearance or waiver had occurred. 8. Governing Law This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of ____________________________________. 9. Mandatory Arbitration Any dispute under this Agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect. 10. Entire Agreement This Agreement shall constitute the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this Agreement shall not be binding upon either party except to the extent incorporated in this Agreement. 11. Modification of Agreement Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement shall be binding only if placed in writing and signed by each party or an authorized representative of each party. 12. Assignment of Rights The rights of each party under this Agreement are personal to that party and may not be assigned or transferred to any other person, firm, corporation, or other entity without the prior, express, and written consent of the other party. 13. Counterparts This Agreement may be executed in any number of counterparts, each of which shall be deemed to be an original, but all of which together shall constitute but one and the same instrument.
