Agreement with Tennis Instructor to Teach Tennis Agreement made on the       day of       , 20       , between       of       , (Name of Contractor) (Street Address, City, County, State, Zip Code) referred to herein as Contractor, and       , a municipal (Name Recreation Organization) corporation organized and existing under the laws of the state of       , (Name of State) with its principal office located at       , referred to herein (Street Address, City, County, State, Zip Code) as City. Whereas, City desires to contact with Contractor to teach Tennis on behalf of the recreational department of City; and Whereas , Contractor desires to contact with City to teach Tennis on behalf of the recreational department of City; Now, therefore, for and in consideration of the matters described above, and of the mutual benefits and obligations set forth in this Agreement, the parties agree as follows: I. The work to be performed by Contractor includes all services generally performed by contractor in Contractor's usual line of business, including, but not limited to, the following:       . (Description of work to be performed) II. City will pay Contractor the sum of $       per month for the work to be performed under this Agreement. In Addition, plus City agrees to pay Contractor       % of the payments made to the Contractor for tennis lessons performed on behalf of City, said payments to be turned over to City on the last day of each month. Contractor will be paid on the first day of each month. III. The parties intend that an independent contractor-contractor relationship will be created by this Agreement. City is interested only in the results to be achieved, and the conduct and control of the work will lie solely with Contractor. Contractor is not to be considered an agent or employee of City for any purpose, and any employees of Contractor are not entitled to any of the benefits that City provides for City's employees. It is understood that City does not agree to use Contractor exclusively. It is further understood that Contractor is free to contract for similar services to be performed for other Cities while under contract with City. IV. Liability. The work to be performed under this Agreement will be performed entirely at contractor's risk, and contractor assumes all responsibility for the condition of tools and equipment used in the performance of this Agreement. Contractor will carry, for the duration of this Agreement, public-liability insurance in an amount acceptable to owner. Contractor agrees to indemnify owner for any and all liability or loss arising in any way out of the performance of this Agreement. Agreement with Tennis Instructor to Teach Tennis Page 1 of 2 V. Duration. Either party may cancel this Agreement on       days' written (Number) notice; otherwise, the Agreement shall remain in force for a term of       months from (Number) the date of this Agreement. VI. No Authority to Bind City. Nothing contained in this Agreement will be deemed to create an employment relationship between the City and the Contractor during this agreement. In providing the services described above, Contractor agrees and acknowledges that he is an independent contractor and will not have authority to bind the City with respect to any matter. In rendering the services described above, Contractor will be free to arrange his own time, pursuits and work schedule and to determine the specific manner in which such services will be performed, without being required to observe any routine or requirement as to working hours. VII. Manner of Performance in Compliance with Law. Contractor warrants and represents that he has the requisite expertise, ability, and legal rights to render the services described above and will perform the Services in an efficient and timely manner. Contractor further represents and warrants that he will perform the services with reasonable diligence and in a professional and workmanlike manner, consistent with generally accepted standards and in compliance with any and all applicable laws, rules and regulations. Contractor warrants and represents that he has all required licenses to perform its obligations under this Agreement.
