STATE OF ALABAMA TIMBER DEED COUNTY OF ______________ This indenture made this __________ day of ___________________ _________, between _________________________________, husband and wife/unmarrried/a married person who certifies that the property conveyed hereby constitutes no part of his/her/spouse’s homestead, of the State of ___________________, hereinafter called First Party, and _________________________________, an Alabama corporation, herein- after called Second Party, W I T N E S S E T H : 1. That First Party, for and in consideration of the sum of ONE HUNDRED DOLLARS ($100) and other good and valuable considerations, in hand paid at and before the sealing and delivery of these presents, the receipt in full and sufficiency whereof is acknowledged, does by these presents grant, bargain, sell, convey, and confirm unto Second Party all merchantable pulpwood, timber and trees standing, growing, or fallen on the following described land, to-wit: Real property described in Exhibit A, which is attached hereto and incorporated herein by reference. 2.Also the right of ingress and egress over said lands and any adjacent lands of First Party for the purpose of cutting and removing said trees and timber, which rights may also be exercised by Second Party's independent contractors, their servants, agents, and workmen in, through, over and upon the said lands; also the privileges of adequate roads and rights of was as may be needed and the right to use and improve existing roads upon the lands described herein and, where necessary, to construct haul roads and to obtain borrow material for such materi al is needed; also the right to go upon the said lands with men, cars, trucks, and other vehicles for the purpose of cutting, harvesting, logging and sawing the trees and timber and removing therefrom the trees and timber; to stack and pile lumber and logs thereon; and all other logging rights and privileges usually given and not hereinabove mentioned. 3. The term of this contract shall be _____________ (___) months from the date hereof and Second Party is to have access to the above granted property for the purpose of cutting and removing said trees and timber together with the rights and privileges herein set out for said length of time.4. Second Party will hold First Party harmless from any claim or claims arising from any act or failure to act by Second Party relating to the property described herein, including claims by public bodies, the general public or adjoining property owners or lessees.5.At the conclusion of logging operations hereunder, Second Party will repair or replace all roads and fences damaged by it, return roads constructed by it to their natural state, and in general return the property to the same condition as on the date hereof.6. Any contaminants, such as chemicals, oil, or gasoline which may have been spilled on the ground, shall be cleaned up or removed in compliance with existing Environmental Protection laws and regulations. TO HAVE AND TO HOLD the said bargained trees, timber, and pulpwood rights to Second Party as above set out; and the title to the said property and the privileges the said First Party will warrant and defend against the lawful claims of all persons whomsoever.All agreements, covenants, duties, rights, privileges, and powers herein made, imposed, granted, or mentioned, which are binding upon or applicable to either or both of the parties hereto, shall also be binding upon and applicable to the heirs, legal representatives, successors and assigns of such party or parties.
