Assignment of Photographer's Rights to Photographs Assignment Agreement made on the _________________ (date) , between _______________________ (Name of Photographer) of _______________________ ________________________________________________________ (street address, city, state, zip code) , referred to herein as Photographer , and ___________________ (Name of Assignee) , a corporation organized and existing under the laws of the state of _________________, with its principal office located at _______________________ ________________________________________________________ (street address, city, state, zip code) , referred to herein as Company . Whereas, photographers retain certain rights to the photographs that they shoot, and unauthorized uses of these photographs by others can be in violation of their rights; and Whereas, in such instances, a multimedia company may seek an assignment of all rights in Photographs from that photographer as an alternative to a license or consent; Now, therefore, for and in consideration the payment of $____________, the mutual covenants contained in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the undersigned Photographer does hereby sell and assign to Company the negatives and all existing copies of the Photographs portrayed on Schedule A attached hereto (the Photographs ) and, additionally, does hereby sell and assign to Company all of Photographer's right, title, and interest in and to the copyrights of the Photographs, including, but not limited to, the sole and exclusive right of copying, engraving, reproducing, and multiplying the Photographs in any form in any medium. 1. Photographer hereby warrants and represents that he is the sole owner of the Photographs, including but not limited to, all Copyright Rights therein, and that he is the sole owner of the negatives and every copy of each of the Photographs; and, where noted, that he has applied for and was duly granted federal statutory copyright protection in each Photograph. 2. Photographer hereby agrees that, for no additional compensation, he will execute any and all documents that may be necessary to perfect Company's rights in and to the Photographs. 3. Photographer hereby warrants that he has read the above Assignment and Release prior to its execution, and is fully familiar with the contents thereof.
