CONFIDENTIALITY AGREEMENT (On Information about Leases offered for Sale) This Agreement is entered into between _____, whose address is _____, referred to as “First Party,” and _____, whose address is _____, referred to as “Second Party.” First and Second Party may be referred to individually in this Agreement as a “Party” or collect ively as the “Parties.” When executed by both Parties, this Agreement shall be deemed effective _____, the “Effective Date.” First Party and Second Party are entering into this Agreement for the purpose of protecting the confidentiality and proprietary nature of information and documentation to be furnished by First Party to Second Party regarding the potential sale of Oil and Gas Leases (t he “Leases”), described on Exhibit "A" to this Agreement. In consideration of First Party furnishing Second Party confidential and proprietary information and documentation concerning the Leases, First Party and Second Party agree as follows: 1. Simultaneously with signing this Agreement, First Party and Second Party will be entering into preliminary discussions regarding the potential sale of the Leases (or an i nterest in the Leases) by First Party to Second Party. To facilitate the discussions and enable Second Party to properly evaluate the Leases, First Party will furnish Second Party information and documentation concerning the Leases which is nonpublic, confidential, or proprietary, and which may include, but is not limited to, title information geological and geophysical data, maps, models, interpretations, and commercial, contractual, and financial information (the "Information"). The Information furnished to Second Party by First Party is the property of First Party. Second Party agrees that it will hold the Information in confidence and will not divulge the Information to any other party, except expressly allowed in this Agreement, for a pe riod of ____ from the Effective Date of this Agreement. 2. This Agreement shall not apply to any part of the information that: a. is now or later becomes part of the public domain; b. was known to Second Party prior to the date this Agreement is signed; c. is made known to Second Party by any person or entity who at the time of disclosure is in rightful possession of all or any part of the information and in disclosing it to Second Party does not violate any confidential obligation to a third party; or, d. is required by law to be disclosed. 3. Should this Agreement be breached and a lawsuit instituted by First Party against Sec ond Party for damages resulting from the breach, and First Party prevails by final judgment, Second Party agrees that it will pay all attorney's fees and consequential expenses incurre d by First Party for the commencement and completion of such litigation. 4.This Agreement represents the entire understanding between First Party and Second Party concerning the information. It supersedes any and all previous agreements, written or oral, tha t may have been entered into between First Party and Second Party. This Agreement is executed by the Parties as of the date opposite their respective signatures, but is effective as of the Effective Date stated above.
