Contract for the Breeding Services of a Dog Breeding services agreement effective as of this the ____ day of ___________________, 20____, between ______________________________________________ (Name of Owner), of ______________________________________________________________________________ ______________________________________________________________________________ _______________________________ (street address, city, county, state, zip code) , referred to herein as Owner, and ______________________________________________________ (Name of Keeper) of __________________________________________________________________ ______________________________________________________________________________ __________________________________ (street address, city, county, state, zip code) , referred to herein as Keeper. For and in consideration of the mutual covenants contained in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Designation and Delivery of Dog A. Owner agrees to supply a _____________________________________________ ____________________________ (e.g., a purebred German Shepherd) male dog, aged _______ (number) years, for ________ ( number) hours to the _____________________ ____________________________________________ (e.g., name of kennel) located at ________________________________________________________________________ _________________________________________________ (address of kennel) , at a time agreed upon between the parties on _________________________________ (date) , for the purpose of breeding such male dog to a ________________________________ _________________________________________ (e.g., a purebred German Shepherd) bitch, aged __________ (number) years, owned by Keeper and previously examined by __________________________________________ (name of veterinarian) of ________________________________________________________________________ __________________________________________________ (address of veterinarian) . B. Keeper shall deliver such bitch to the above-stated kennel at the agreed time and date for the purpose of breeding between such male dog and the bitch. 2. Consideration Keeper agrees to pay Owner for the services of such male dog the sum of ______________________________ ( dollar amount) at the time the puppies whelp as a result of and subsequent to the breeding described in this Agreement. In addition, Owner shall have his pick of the litter whelped at the time such litter is ___________ (number) weeks old. 3. Failure to Whelp A. If, subsequent to the breeding of the above-stated animals at the time and place described in this Agreement, the bitch fails to whelp, Owner agrees to supply the above- stated male dog for a subsequent breeding session the next time the bitch comes in heat. B. If a subsequent breeding session is necessary, a breeding fee of ______________________________ (dollar amount) shall be paid by Keeper to Owner at the time of such rebreeding and Owner will have the pick of the litter whelped, if any, resulting from any such rebreeding at the time such litter is ________ (number) weeks old. 4. Time of Payment The _____________________________ (dollar amount) breeding fee described in this Agreement shall be payable by Keeper to Owner within _________ (number) days following the initial attempt at breeding described in this Agreement if such initial efforts do not result in the birth of one or more puppies. 5. Warranties The parties warrant that their respective animals are in good health and are not, to the best of their knowledge, incapable of breeding. 6. Reservation of Lien by Owner Owner specifically reserves a first lien on any puppies produced under the terms of this Agreement to the extent of any unpaid balance of the fee agreed to be paid under this Agreement. 7. Care of Puppies Keeper agrees, at his sole expense, to keep and maintain any puppies resulting from the breeding pursuant to this Agreement in good health and condition through the _______________ (e.g., sixth) week during which Owner shall have the opportunity to exercise his pick of the litter as provided above in this Agreement. 8. No Waiver The failure of either party to this Agreement to insist upon the performance of any of the terms and conditions of this Agreement, or the waiver of any breach of any of the terms and conditions of this Agreement, shall not be construed as subsequently waiving any such terms and conditions, but the same shall continue and remain in full force and effect as if no such forbearance or waiver had occurred. 9. Governing Law This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of ____________________________. 10. Notices Any notice provided for or concerning this Agreement shall be in writing and shall be deemed sufficiently given when sent by certified or registered mail if sent to the respective address of each party as set forth at the beginning of this Agreement. 11. Attorney’s Fees In the event that any lawsuit is filed in relation to this Agreement, the unsuccessful party in the action shall pay to the successful party, in addition to all the sums that either party may be called on to pay, a reasonable sum for the successful party's attorney fees. 12. Mandatory Arbitration Any dispute under this Agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect. 13. Entire Agreement This Agreement shall constitute the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this Agreement shall not be binding upon either party except to the extent incorporated in this Agreement. 14. Modification of Agreement Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement shall be binding only if placed in writing and signed by each party or an authorized representative of each party. 15. Assignment of Rights The rights of each party under this Agreement are personal to that party and may not be assigned or transferred to any other person, firm, corporation, or other entity without the prior, express, and written consent of the other party. 16. Counterparts This Agreement may be executed in any number of counterparts, each of which shall be deemed to be an original, but all of which together shall constitute but one and the same instrument.
