Contract with Independent Contractor to Teach Insurance Courses with Covenant Not to Compete and Confidentiality Agreement Agreement made on the ____day of _______________, 20___, between ___________ _____________________________ ( Name of Corporation), a Corporation organized and existing under the laws of the state of _____________________ (Name of State), whose principal address in located at ________________________________________ (street address, city, state, zip code) , hereafter called Company, and _______________ ______________________ (Name of Consultant) , whose address is _______________ _______________________________________ (street address, city, state, zip code) , hereafter referred to as Consultant. Whereas, Company is in the business of providing instructional training for students to prepare them for the ______________________ (Name of State) state insurance licensing exam as well as providing continuing education that is required by the state of _____________________ (Name of State) to renew an existing insurance license; Whereas, Consultant agrees to perform these services for Company under the terms and conditions set forth in this Agreement; Now, therefore, for and in consideration of the mutual promises set forth in this Agreement, it is agreed by and between Company and Consultant as follows: 1. Nature of Work. Consultant will provide certain training on behalf of Company to students of Company to prepare them for the Mississippi state insurance licensing exam as well as providing continuing education that is required by the state of Mississippi to renew an existing insurance license. 2. Place of Work. It is understood that Consultant’s services will be rendered online or wherever said training is held in the State of __________________ (Name of State). 3. Payment. Company will pay Consultant $________ per course taught to the students within _________ (number) days after the completion of such training and/or continuing education. 4. Duration. The parties hereto contemplate that this Agreement will run for _______________________________ (state period of time) from the date hereof, but the Agreement may be terminated by either party for any reason or no reason pursuant to _______ (number) days written notice with Consultant only being due payment for unpaid amounts for work done pursuant to this Agreement. 5. Status of Consultant. The parties to this Agreement agree the relationship created by this Agreement is that of employer/independent contractor. Consultant is not an employee of Company, and is not entitled to the benefits provided by Company to its employees, including, but not limited to, group insurance and pension plan. Company may, during the term of this Agreement, engage other independent contractors to perform the same work that Consultant performs hereunder. 6. Indemnification. Consultant does hereby agree to indemnify and hold harmless Company of and from any and all loss, cost, damage and expense of every kind including attorney's fees, which said Company shall suffer or may suffer or incur or become liable for arising, directly or indirectly, out of or on account of Consultant’s conduct in connection with the performance of this Agreement. 7. Covenant Not to Compete. Consultant agrees that during term of this Agreement or o n termination of this Agreement, Consultant will not engage in a business similar to that of Company, except as an instructor of subjects different from that taught on behalf of Company pursuant to this Agreement. This restriction shall cover the state of ____________________ (Name of State), for a period of _________ (number) years. Consultant agrees that this noncompetition section is necessary to protect the business of Company, and that Consultant's violation of this section would result in irreparable harm to Company. If Consultant breaches this section, Company shall be entitled to injunctive relief in addition to any other remedies legally available. This section shall survive termination of this Agreement. 8. Confidentiality. Consultant agrees not to disclose to any person or entity any information regarding the business of Company, including its customers, products, prices, manner of operations, without first obtaining Company's written consent. If Consultant breaches this section, Company shall be entitled, among other remedies, to injunctive relief prohibiting Consultant from disclosing such information. This section shall survive termination of this Agreement. 9. No Waiver. The failure of either party to this Agreement to insist upon the performance of any of the terms and conditions of this Agreement, or the waiver of any breach of any of the terms and conditions of this Agreement, shall not be construed as subsequently waiving any such terms and conditions, but the same shall continue and remain in full force and effect as if no such forbearance or waiver had occurred. 10. Governing Law. This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of ______________. 11. Notices. Any notice provided for or concerning this Agreement shall be in writing and shall be deemed sufficiently given when sent by certified or registered mail if sent to the respective address of each party as set forth at the beginning of this Agreement. 12 . Mandatory Arbitration. Any dispute under this Agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect. 13. Entire Agreement. This Agreement shall constitute the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this Agreement shall not be binding upon either party except to the extent incorporated in this Agreement. 14. Modification of Agreement. Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement shall be binding only if placed in writing and signed by each party or an authorized representative of each party. 15. Assignment of Rights. The rights of each party under this Agreement are personal to that party and may not be assigned or transferred to any other person, firm, Company, or other entity without the prior, express, and written consent of the other party.
