Contract with Consultant to Teach Workshops Contract made on the____day of _______________, 20___, between Acme, LTD, a corporation organized and existing under the laws of the state of ___________________, whose principal address in located at _____________________________________ (street and city), hereafter called Corporation, and John Doe, whose address is __________________________ (street, city & state) , hereafter referred to as Consultant. WHEREAS, Corporation is in the business of organizing and putting on workshops for the study of _________________________________________________________ (describe what is taught at workshops here) , and desires to have Consultant teach at said workshops; and WHEREAS, Consultant agrees to perform these services for Corporation under the terms and conditions set forth in this contract; NOW, THEREFORE, for and in consideration of the mutual promises set forth in this contract, it is agreed by and between Corporation and Consultant as follows: 1. Nature of Work Consultant will teach ______________________________________ (describe what is taught at workshops here) on behalf of the Corporation with respect to said workshops of Corporation. 2. Place of Work It is understood that Consultant ฀s services will be rendered wherever said workshops are held in the state of ___________________. 3. Time Devoted to Work In the performance of the services, the services and the hours Consultant is to work on any given day will be based on the needs of the workshops. These workshops are held on the average of __________ per month, and there will be some weeks during which Consultant may not perform any services at all for Corporation. 4. Payment Corporation will pay consultant ____ percent of the fees (less expenses) collected for attending said workshops within______ week(s) after the completion so such workshop. Consultant shall, at his own expense, arrange and pay for all traveling and living expenses while teaching at said workshops. 5. Duration The parties hereto contemplate that this contract will run for _______year(s) from the date hereof, but the contract shall be considered as a firm commitment on the part of the parties hereto for a period of __________commencing on the date of this contract. 6. Status of Consultant The parties to this contract agree that Consultant is a professional person, and that the relation created by this contract is that of employer-independent contractor. Consultant is not an employee of Corporation, and is not entitled to the benefits provided by Corporation to its employees, including, but not limited to, group insurance and pension plan. Consultant may practice his profession for others during those periods when Consultant is not performing work under this contract for Corporation. Corporation may, during the term of this contract, engage other independent contractors to perform the same work that Consultant performs hereunder. 7. Indemnification Consultant does hereby agree to indemnify and hold harmless Corporation of and from any and all loss, cost, damage and expense of every kind including attorney's fees, which said Corporation shall suffer or may suffer or incur or become liable for arising, directly or indirectly, out of or on account of Consultant ฀s conduct and/or teaching at said workshops.
