Legal counsel should be sought when appropriate prior to using this form. Delete this note prior to use.WHEREAS, ___________________, (hereinafter, “the Employee”) is currently employed with ___________________ (hereinafter, “the Company”); and,WHEREAS, the Employee is also [engaged in the business of _______________________ (hereinafter, “Independent Business”)] [employed at another job with _________________ as a ______________________]; and,WHEREAS, the Company is in the business of ____________________; and,WHEREAS the Company and the Employee desire to have the Employee’s employment continue with the Company, while at the same allowing the Employee to [operate his Independent Business] [hold the second job]; andWHEREAS, the Company and the Employee want to ensure that [the Company is not exposed to any liability from the Employee’s Independent Business, nor] [the Employee’s second job does not] create a conflict of interest or breach of loyalty to the Company, WHEREFORE, in consideration of the mutual promises contained herein, the Company and the Employee agree as follows:Company Policy on Outside EmploymentThe Employee understands that all employees must avoid situations that could present a conflict of interest or adversely affect the Employee's ability to meet Company work requirements. Therefore, before any employee accepts outside employment, the employee must obtain prior written approval from the Company. Outside employment is prohibited in situations which may result in a conflict of interest, or which may adversely affect or interfere with the Employee’s job performance with the Company, or which may be in competition with the Company, or customer of the Company, or a vendor of the Company. Any employee who works outside the Company will be required to meet all standards of performance applicable to the employee’s job, shall be alert and attentive while working, and shall be available to work such times and days, including overtime, as may be required by the Company from time to time.Authorization for Outside EmploymentThe Company hereby authorizes the Employee to [conduct his own Independent Business] [hold the second job described above] while he is employed at the Company, so long as the Employee abides by the terms and conditions of this authorization.Conditions for Engaging in Outside EmploymentThe Employee agrees that he will abide by the Company’s policy on outside employment.In [conducting his Independent Business] [holding his second job], the Employee shall not use any assets of the Company, including but not limited to trade secret or confidential information of the Company, including customer lists; Company catalogs; Company equipment, including telephones, computers, faxes and vehicles; Company supplies; Company staff or employees.[Option>The Employee shall not hold the Company out as being connected or affiliated with Authorization for Outside Employment Page 2 of 2Basic form © James R. McDade (ver: 06-24-03) 209-667-2300Employee’s Independent Business.[Option>The Employee shall maintain proper errors and omissions insurance and liability insurance for the Employee’s Independent Business.[Option>Indemnification of the CompanyThe Employee shall indemnify, protect, defend and hold the Company and its owners, directors, officers, employees, agents, affiliates, representatives and assigns harmless from and against any and all claims, demands, proceedings, causes of action, damages, liabilities, losses, expenses, injury or death, damage to property, and other relief sought of every nature and kind, whether in tort, contract, by statute or otherwise, arising directly or indirectly out of the Employee’s operation of the Independent Business, irrespective of whether the claimed liability is caused by the active negligence or passive negligence of the Employee or of any other persons or entities connected with the Employee’s Independent Business. At-Will EmploymentThis authorization for outside employment does not create an employment contract for any specific length of time.
