Statement of Hiring Association agrees to employ Manager for a period of (e.g., two years) ____________ , beginning on the effective date of this Agreement, as the Manager of the annual (type of exposition) ________________________, and it’s other activities, and Manager agrees to accept this position upon the terms and conditions set forth in this Agreement. 2. Duties of Manager Manager agrees to take charge of the annual exposition and other activities, and devote his entire time to the management and promotion of such exposition and activities. 3. Compensation of Manager In consideration of the services of Manager , he shall receive a salary of $___________ per year, payable in ______ (number) equal monthly installments, beginning on _________________ (date) . 4. Manager’s Share of Net Profits In addition to the salary set forth in Section 3 of this Agreement, Manager shall receive ________% of the net profits on the operations of the annual exposition. 5. Determination of Net Profits A. The net profits of the annual exposition shall be determined by considering receipts from outside gate, grandstand, concessions, space rentals, ground and building rentals, entry fees, and miscellaneous events or undertakings that deal directly with the activities of the exposition. From such net profits there shall be deducted the payment of premiums, entertainment, salaries, supplies, printing, advertising, insurance, and state and federal amusement taxes. B. The income from the following sources shall not be included as the exposition's operating income: federal, state, city, and county aid, or contributions and donations to the Association . C. Permanent improvements on the grounds and buildings, including labor on such improvements shall not be included as the exposition's operating expenses. 6. Expenses of Manager Manager shall be reimbursed for all expenses of business trips. These expenses shall include transportation fares, hotel bills, and meals. If Manager uses his own automobile, then he shall be reimbursed at the rate of ______ cents per mile. 7. Inventories and Accounts Manager shall maintain a proper inventory and shall see that proper books of account are kept showing all receipts and expenditures. All of Manager 's books of account, inventory, and contracts shall be subject to inspection by the officers of the Association , at reasonable times, and to auditors who may be engaged by the Association for the preparation of any desired audits. 8. Office of Manager Manager shall be provided with an office at ___________________________________ _________________________________________________________ (address) . 9. Policies of Association Manager shall abide by such policies as may be determined by the board of directors of the Association and shall meet with such board of directors and make reports and recommendations to that board when requested to do so. 10. Annual Reports Manager shall make a report of the preceding year and submit such report at the annual meeting of the members of the Association to be held in _____________ (month) of each year. 11. Bank Deposits and Expenditures A. All monies received by Manager on behalf of the Association are to be deposited in such bank or banks as may be designated by the board of directors of the Association . B. No expenditures shall be made from the funds so deposited except by checks signed as may be provided in the bylaws of the Association . 12. Severability The invalidity of any portion of this Agreement will not and shall not be deemed to affect the validity of any other provision. If any provision of this Agreement is held to be invalid, the parties agree that the remaining provisions shall be deemed to be in full force and effect as if they had been executed by both parties subsequent to the expungement of the invalid provision. 16. No Waiver The failure of either party to this Agreement to insist upon the performance of any of the terms and conditions of this Agreement, or the waiver of any breach of any of the terms and conditions of this Agreement, shall not be construed as subsequently waiving any such terms and conditions, but the same shall continue and remain in full force and effect as if no such forbearance or waiver had occurred. 17. Governing Law This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of _______________. 18. Notices Any notice provided for or concerning this Agreement shall be in writing and shall be deemed sufficiently given when sent by certified or registered mail if sent to the respective address of each party as set forth at the beginning of this Agreement. 19. Mandatory Arbitration Any dispute under this Agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect. 20. Entire Agreement This Agreement shall constitute the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this Agreement shall not be binding upon either party except to the extent incorporated in this Agreement. 21. Modification of Agreement Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement shall be binding only if placed in writing and signed by each party or an authorized representative of each party. 22. Assignment of Rights The rights of each party under this Agreement are personal to that party and may not be assigned or transferred to any other person, firm, corporation, or other entity without the prior, express, and written consent of the other party. 23. In this contract, any reference to a party includes that party's heirs, executors, administrators, successors and assigns, singular includes plural and masculine includes feminine.
