Whereas, Employer is now and has been for some time engaged in the business of verbatim reporting and transcription including the transcription of medical records, reporting of trials, depositions, conferences, conventions, and the like. Whereas, the operation of such verbatim reporting business and enterprise requires the parties to this Agreement to have knowledge of the confidential records of Employer and its clients or patients, including, but not limited to, medical records of patients, lists of clients, financial records, the details of certain aspects of clients' businesses, and Employer's operating techniques. Whereas, it is the mutual desire of the parties to this Agreement to protect and safeguard such confidential information and prevent injury from disclosure of such information. Now, therefore, for and in consideration of the mutual covenants contained in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: I. Employment Employer shall employ Employee as a verbatim reporter and as compensation promptly pay employee _____% of all charges made and collected for transcription and reporting services rendered by Employer through Employee. II. Term of Employment This Agreement shall be in effect for a period of ____ ( number) months from the effective date stated above and shall be renewed and continued in effect for a like period unless either party give written notice to the other of the desire not to so renew and extend, which notice shall be given not less than ____ ( number) days before the day of expiration. III. Assignment The rights and obligations of the parties hereto are personal and may not be assigned or transferred to any other person, firm, corporation, or other entity without the prior, express, and written consent of both parties. VIII. Mandatory Arbitration Notwithstanding the foregoing, and anything herein to the contrary notwithstanding, any dispute under this Agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect. IX. Entire Agreement This Agreement shall constitute the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this Agreement shall not be binding upon either party except to the extent incorporated in this Agreement. X. Modification of Agreement Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement shall be binding only if evidenced in writing signed by each party or an authorized representative of each party.
