Fill and Sign the Escrow Agreement Provides for Delivery of Assignment to Form

ESCROW AGREEMENT (Provides for Delivery of Assignment to Agent until Payment is Received) Assignor: (Name and Address) Assignee: (Name and Address) Agent: (Name and Address) Effective Date: On (Date), Assignor, named above, executed an assignment, (the “Assignment”), which assigns to Assignee, named above, an undivided interest in oil and gas leases described in the Assignment. A copy of the fully executed and acknowledged Assignment is attached to this Agreement as Attachment “A.” An agreement between Assignor and Assignee concerning this transaction provides that the consideration for the Assignment will not be paid until ti tle to the undivided interest that is the subject of the Assignment can be verified by Assignee. Al though the consideration has not been delivered, Assignor and Assignee desire the Assignment be executed, acknowledged, and delivered to Agent, named above, and be held by Agent in accordance with this Agreement. For adequate consideration, Assignor, Assignee, and Agent agree as follows: 1. Simultaneously with signing this Agreement, Assignor has delivered to Agent the original executed Assignment. The Assignment shall be held in the physical possession of Age nt until Agent has received from Assignee a cashier's check in the amount of $____ , payable t o Assignor, (the “Funds”) which represents the consideration to be paid by Assignee for the Assignment. Upon receipt of the Funds, Agent shall deliver to Assignee the Assignment by certified mail, return receipt requested. Simultaneously with the mailing of the Assignment to Assignee, Agent will make physical delivery of the Funds to Assignor. 2. If Agent does not receive the Funds from Assignee by 5 p.m. on (Date), being (Period of Time) from the Effective Date stated above, Agent shall return the Assignment to Assignor by certified mail, return receipt requested. 3. Agent shall hold the Assignment until 5 p.m. on (Date), unless prior to that date Agent i s supplied other written directions from Assignor and Assignee, signed by both of them, directing Agent to deliver the Assignment in another manner. 4. Assignor and Assignee acknowledge that Agent shall incur no liability for acting as Agent for Assignor and Assignee and agree to jointly and severally hold Agent harmless and indemnify Agent against all claims, costs and causes of action which occur as a result of Agent performing the services provided for in this Agreement. This Agreement is signed by Assignor, Assignee and Agent as of the date of acknowledgment of their signatures below, but is effective for all purposes as of the Effect ive Date stated above.
