Testamentary Trust Provision for the Establishment of a Trust for a Charitable institution for the Care and Treatment of Disabled Children The Trustees shall cause to be incorporated a Corporation for charitable purposes, to be designated and known as ________________________ (name of charitable corporation) (provided such a Corporation shall not have been incorporated during my lifetime, and if such Corporation shall have been incorporated in my lifetime all the provisions of this Will concerning this Corporation shall apply to the Corporation as incorporated), and the Trustees shall by proper conveyance, convey to such Corporation, in fee simple forever, the entire property, together with the buildings and structures on such property situated at ______________________________________ (street address, city, county, state, zip code) , if the title to such property stands at the time of my death in my name, and if the title to such property is held by a corporation, the stock of which is held by me or by a corporation which is controlled by me at the time of my death, then my Trustees shall assign and transfer all the stock of such corporation to ________________________ (name of charitable corporation) , or such corporation for charitable purposes as shall have been incorporated during my lifetime, and my Trustees, in their discretion, may have the corporation holding the title to ______________________________________ (description of property) dissolved, and cause the legal title to ______________________________________ (description of property) to be conveyed to ________________________ (name of charitable corporation) , or such other corporation as may instead be incorporated in my lifetime, and my Trustees are directed to pay over, at convenient intervals, to such corporation, net income of my Estate, (OPTIONAL: subject to the annuities and legacies mentioned above) , for the purpose of maintaining such property as a charitable institution for the care and treatment of handicapped children with the first consideration being given to beneficiaries who are residents of ________________________ (name of state) , with the understanding that the following rules and regulations shall be included among those imposed by the Board of Directors controlling such ________________________ (name of charitable corporation)] : 1. ________________________ (Name of charitable corporation) shall be created and maintained as a memorial to ________________________ (name of person for whom charity is to be memorial) and a proper memorial shall be erected on the property to so indicate. 2. The ______________________________________ (description of building) on the property shall not be used for housing or hospital purposes, but buildings may be erected at any point on the property suitable for such purposes and as shall be selected by the Board of Directors. 3. The Trustees are specifically instructed that it shall be their duty, first, to care for the property in order that they be maintained for the pleasure and benefit of the public in their present condition and the grounds improved from time-to-time, as their funds warrant, it being my particular desire that this memorial be not permitted to deteriorate, but that it shall consistently become more beautiful and attractive to those who view it as time passes. Only after faithfully carrying out the above instructions shall my Trustees be warranted in using any portion of the capital or income of my Estate for additional charitable purposes. 4. The Board of Directors shall consist of five members and shall be appointed by the Trustees for terms of one, two, three, four, and five years respectfully, and at the expiration of the term of each Director first appointed, a Director shall be appointed by the Trustees for a term of five years; three of the Directors shall be residents of ________________________ (name of state) , and two of them need not be residents of ________________________ (name of state) . 5. The Trustees shall have full power to fill all vacancies, shall have full charge of the management and policy of ________________________ (name of charitable corporation) , and shall have full power to employ and discharge such superintendents, physicians, professional advisors or assistants, employees, and agents as shall be required for the proper management and conduct of ________________________ (name of charitable corporation) . 6. The members of the Board of Directors shall be entitled to a salary of $ ________________________ per year, during their term of office. 7. The Trustees shall have the right, at any time, to remove any member of the Board of Directors and shall not be required to specify the cause for such removal. 8. The Trustees shall have power to take and set apart from the principal of my Estate a fund not to exceed $ ________________________ , or so much as may be necessary, to be applied and expended in the erection and equipment of buildings for the purposes of ________________________ (name of charitable corporation) . Should it become necessary to erect any additional buildings for the purposes of ____________________ (name of charitable corporation) , the money for such buildings must be derived from the income from my Estate or bequests or gifts from others, and not from the capital of my Estate, so that in no event shall the capital of my Estate be diminished by using any portion of such capital for the erection and equipment of buildings upon the above-stated property, beyond $ _________ appropriated for that object. 9. The Board of Directors shall annually, in ________________________ (name of month) , make a full statement and report in writing to the Trustees appointed by this Will of the receipts and expenditures of such Board of Directors in conducting and managing ________________________ (name of charitable corporation) .
