-1- 6.13[2] Clauses Relating to Transactions with Insiders Example 1 (General Partnership or Limited Liability Company Venture):Section 1.01. Transactions with Venturers or Affiliates. Any transaction between the Venture and a Venturer or Affiliate of a Venturer shall be no less favorable to the Venture than would be the case with unrelated entities in arm's length transaction. Example 2 (General Partnership Venture): Section 1.01. Products and Services from Partner A or its Affiliates. The Partners agree that the Partnership shall procure the products and services set forth on Exhibit 1.01(a) from Partner A or its Affiliates, pursuant to the Support Services Agreement appended hereto as Exhibit 1.01(b), which shall be executed at the time of the execution of this Agreement. Amendments to, waivers of rights by the Partnership under, or termination by the Partnership of such Support Services Agreement shall require the approval of the Partnership Board by Supermajority Vote. Section 1.02. Transactions with Partners or Affiliates. All transactions between the Partnership and a Partner or Affiliate of a Partner, other than those under the Support Services Agreement, shall be no less favorable to the Partnership than would be the case with unrelated entities in arm's length transactions, and shall require the approval of the Partnership Board by Supermajority Vote. Example 3 (Limited Liability Company Venture): Section 1.01. Certain Transactions. The LLC is expressly permitted in the normal course of its business to enter into transactions with any or all Members or with any Affiliate of any or all Members provided that the price and other terms of such transactions are fair and are not less favorable to the LLC than those generally prevailing with respect to comparable transactions between unrelated parties.
