Continuing Guaranty of Business Indebtedness By Corporate StockholdersGuaranty made ________________________________________ (date), by ________________________________________________________________________ __________________________________________________________________________________________________________________________ (Names of Stockholders), all residents of ___________________________________________________________ (Name of County and State), and the principal stockholders in _____________________ ___________________________________________________ (Name of Corporation), hereinafter called Guarantors, to ____________________________________________ (Name of Creditor), hereinafter called Creditor, with respect to credit extended and to be extended to the Corporation by Creditor. For and in consideration of credit extended and to be extended to the Corporation by Creditor, the receipt and sufficiency of which is hereby acknowledged, Guarantors jointly and severally guarantee unconditionally at all times payment of all and any indebtedness or liability, direct or contingent, irrespective of its character or regularity, now owing or which may later be owing or become due from the Corporation to the Creditor, its successors or assigns, to the extent of $_________________ , whether or not such indebtedness or liability or any part be otherwise guaranteed or secured, or whether additional guarantors be added to this Guaranty after delivery without notice to or consent of the Guarantors, and irrespective of any other circumstances. Upon the failure to pay promptly the full amount when due, by acceleration or otherwise, by the Corporation, the Guarantors, jointly and severally, promise to pay such indebtedness or liability on demand, together with interest on the same, and also all expenses of every kind incurred for the collection on the same or in the enforcement of this Agreement, and in case suit is instituted to enforce this Agreement, or any claim arising under this Agreement, to pay such additional sum as the court shall adjudge reasonable as attorney fees in such suit, to the Creditor, or to the holder or holders of the indebtedness or liability, or any part of the same. The undersigned Guarantors waive notice of the acceptance of this Guaranty and of any and all indebtedness or liability at any time covered by the same. This guaranty is intended as a continuing guaranty and requires no notice to the undersigned Guarantors, and shall remain in full force and apply to all present and future matters and transactions (not exceeding in this extent, at any one time the amount above stated) until written notice of its discontinuance as to any further indebtedness or liability shall be received by the Creditor, its successors or assigns.
