20.06[1] Example 3: Estoppel Certificate for a LenderAs an inducement for the (lender) to enter into a mortgage loan with (landlord), (known as the "Borrower"), the undersigned hereby acknowledges that: 1. The undersigned is Tenant of a portion (also known as the "Premises") of the mortgaged property (the "Mortgaged Property") at _________________ under a certain Lease from the Borrower dated, _________________, as amended (the "Lease"), which provides for an annual base Rent of $. _______________. 2. The undersigned has unconditionally accepted and occupied the Premises and commenced payment of full Rent under the Lease. 3. Tenant has entered into and accepted the possession of the Premises. Such premises are in compliance with the Lease. The commencement date of the Lease is (or was) ___________, and the Lease Term expires on __________________. 4. The Lease sets forth the entire agreement between Borrower and the undersigned, is in full force and effect in accordance with its terms, and has not, in any way, been assigned or sublet, or amended or modified except as referred to in paragraph (1) above. 5. There exists no Default by either party to the Lease, or other grounds for setoffs, or for ceasing or reducing the payments of rentals, or for cancellation or termination of the Lease, nor any state of facts which, with the giving of notice, the passage of time, or both, would constitute a Default on such other grounds. 6. The undersigned shall not agree to subordinate or permit subordination of the Lease to any lien in favor of anyone other than Lender without first obtaining Lender's prior written permission. 7. The Lease and the rights of Tenant thereunder are and at all times hereafter shall be subject and subordinate to the lien of the Mortgage and to all of the terms, conditions and provisions thereof, to all advances made or to be made thereunder, to the fullest extent of the Mortgage and to any renewal, substitution, extension, modification or replacement thereof, including any increase in the indebtedness secured thereby or any supplements thereto. 8. The undersigned will give Lender and the Borrower at least Twenty (20) days notice of any alleged Default under the Lease which would entitle the Tenant to cancel the Lease or to abate the Rent payable thereunder and a reasonable opportunity thereafter (but in no event more than Twenty (20) days) for the Lender to cure any Default upon the Borrower's failure to do so. 9. All notices, demands or requests, and responses thereto, hereunder or required to be given pursuant to the Lease or other agreement to Lender, shall be sent to the Lender at the following address: _______________________ or at such other place as Lender may from time to time designate in writing pursuant to the terms of the Lease or any such other agreement. 10. In the event of sale of the Mortgaged Property at foreclosure or in lieu thereof, (i) the purchaser shall not be bound by (A) any payment of Rent or additional Rent for more than one month in advance, except prepayments in the nature of security for the performance by Tenant of its obligations under the Lease and for prepayment of any items of additional Rent that have been paid in accordance with the Lease, including payments for real estate taxes or (B) any amendments or modification of the Lease made in violation of paragraph (6) hereof; and (ii) such purchaser shall not be liable for (A) any act or omission of any prior landlord (including Borrower), or (B) the breach of any warranties or obligations relating to the construction of improvements on the Premises or any Tenant finish work performed or to have been performed by any prior landlord, and (iii) such purchaser shall not be subject to any setoffs or defenses which the Tenant might have against any prior landlord.11. Tenant acknowledges that it has been advised that Borrower intends to execute and deliver to Lender and Assignment of Lease and Rents conveying the rents under the Lease as additional security for the mortgage loan, and the undersigned hereby expressly consents to such assignment and has no notice of a prior assignment of the Lease or the rents thereunder.
