BILL OF SALE FOR EQUIPMENT (In Consideration of Buyer Assuming Plugging Obligation) State: County: Buyer: (Name and Address) Seller: (Name and Address) Effective Date: Seller, named above, owns those items of equipment, machinery, and fixtures (the "Equipment") described in Exhibit "A" to this Bill of Sale, all of which are locat ed on the following lands in the county and state named above: [Description of Lands on which Equipment is Located] The Equipment is connected to or used in connection with wells located on the lands. In consideration for Buyer's agreement to properly plug the wells to which the Equipment is connected, in compliance with all rules, regulations, and policies of the government al agencies having jurisdiction, Seller grants, sells, and conveys to Buyer all of the Equipment. The Equipment is sold and transferred by Seller and accepted by Buyer "AS IS, WHERE IS" without any warranty, express, implied or statutory, as to its grade, quality, condition or fitness for any particular purpose. Buyer agrees to remove the Equipment from the lands. As part of the consideration for the Equipment, Buyer agrees to restore the condition of the surface of the lands after all Equipment is removed. Seller represents and warrants to Buyer that Seller has full right and authority to se ll and transfer the Equipment to Buyer and warrants title to the Equipment against any person c laiming all or any part of it.
