5.27 Work Made for Hire Author Contract Date _________ Dear ___________________: We hereby commission you to write an article on the subject of "______________________" for use separately and in conjunction with _______________ (the "magazine") published by Major Publisher. Major Publisher's use shall be in print, electronic format and all other formats now known or hereafter to become known. You have accepted this assignment subject to the following terms and conditions: 1. You will deliver the manuscript to us no later than ____________. Upon our acceptance of the manuscript, we will pay you $______. We will also reimburse you for reasonable travel and other expenses, up to a maximum of $____, incurred by you in performing this assignment, if approved by us in advance, upon you submission of receipts. 2. You acknowledge that the article shall be a "work made for hire" within the meaning of the United States copyright laws, and that, subject to the provisions of Section 7 herein, Major Publisher shall own all rights in and to the article. 3. Accordingly, we may also use the article for any and all uses and products, in any and all formats now known or hereafter to become known, including but not limited to books, CD-ROMs and on-line services. 4. You will grant us the right to use your name, biography, and likeness in the magazine, in advertising and promotion related to the magazine, and in any and all ancillary products related to the magazine regardless of the formats in which such use occurs. 5. Upon our request, and within a reasonable time following delivery of the article, you will submit a revised draft incorporating any revisions, changes or alterations reasonably requested. If the revised draft is not acceptable to us, we have the right to use it as source material for an article on the same subject to be written by a third party. In this event, we will pay you the fee set forth in paragraph 7, below. 6. You represent and warrant that the articles will be wholly original material not published elsewhere (except for material in the public domain or used with the permission of the owner), will not infringe any copyright, and will not constitute a defamation, or invasion of the right of privacy or publicity, or infringement of any other kind, of any third party. 7. Nothing herein shall require Major Publisher to accept for publication or to publish any article submitted by you. If we do not accept the article, we will pay you $____ plus expenses as outlined in paragraph 1, and will convey the copyright in the article to you. Acceptance will be at our sole discretion. 8.
