-1- 11.10 Limited License - Video Clips for Advertising PROMOTIONAL VIDEO CLIP LICENSE RIDERWHEN SIGNED IN THE SPACES INDICATED BELOW BY BOTH PARTIES, THE FOLLOWING SHALL CONSTITUTE AN AGREEMENT (THE "AGREEMENT") BETWEEN _______________________(LICENSEE ") AND ___________________ ("LICENSOR") DATED ______________ GRANTING LICENSEE LIMITED PERMISSION TO VIDEOTAPE ITS PRODUCTION OF THE WORK ________________________ (THE "PLAY"): 1. Notwithstanding the prohibition against any videotaping whatsoever in the License dated _________ previously granted to Licensee by Licensor for the live stage performance of the Play, Licensor hereby permits Licensee to videotape some portions of its production, subject to Licensee's strict observance of the conditions set forth herein. 2. Licensee shall have the right to videotape up to six (6) unrelated two-minute segments of the Play (a total of twelve (12) minutes maximum). Each of the two-minute segments may consist of contiguous footage from multiple angles. 3. Licensee shall then edit up to 30 seconds of each two-minute segment for promotional and marketing use, for a maximum of three (3) minutes of final footage (the "Video Clip"), but in no event may more than the 6 unrelated segments of 30 seconds duration each be disseminated in any way, including -2- broadcasting, sale or electronic posting on the Internet.4. Licensee shall have the right to use the Video Clip, with voice-over or without, in connection with interviews, on television and/or in a loop to be shown in a theatre lobby or elsewhere. If used for advertising spots, the Video Clip may be edited into 15, 30 or 60- second versions. 5. In the event of Licensee's failure to follow the above requirements, even if inadvertent, Licensee agrees that, without limiting any other recovery that Licensor may obtain against Licensee, whether at law or at equity, for its breach of this Agreement, Licensee shall, at a minimum, pay to Licensor damages equal to three times the total license royalty fees paid or payable to Licensor by Licensee for its production of the Play. 6. This Agreement does not permit Licensee to create any archival videotape or recording of the Play whatsoever. 7. Upon completion of the Video Clip, Licensee must deliver a copy to Licensor, along with a written representation that the Video Clip is the sole recorded material being utilized in connection with Licensee's production and marketing promotion of the Play and that the Video Clip will not be disseminated in any way by Licensee after the completion of its production. 8.
