For and in consideration of the sum of $_________________, Seller agrees to sell and Buyer agrees to buy _________________ _____________________________, a ____________ horse, free and clear of all encumbrances. BUYER UNDERSTANDS THERE ARE NO WARRANTIES EXPRESSED OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH REGARD TO SAID ANIMAL AS ABOVE-DESCRIBED AND THAT SAID ANIMAL IS BEING SOLD IN AN “AS-IS” OR “WITH-ALL-FAULTS” CONDITION. BUYER UNDERSTANDS AND ACKNOWLEDGES THAT BUYER HAS THE RIGHT TO HAVE A PRE-PURCHASE EXAMINATION PERFORMED BY THE VETERINARIAN OF HIS OR HER CHOICE AT HIS OR HER EXPENSE PRIOR TO EXECUTION OF THIS AGREEMENT. IN THE EVENT BUYER ELECTS NOT TO HAVE A VETERINARIAN PERFORM A PRE-PURCHASE EXAMINATION OF SAID HORSE AS ABOVE-DESCRIBED, BUYER WAIVES ANY AND ALL RIGHTS, CLAIMS OR CAUSES OF ACTION AGAINST SELLER FOR ANY PATENT OR LATENT DEFECTS PERTAINING TO THE ANIMAL AS ABOVE-DESCRIBED. The parties acknowledge that all dealing between them with regard to representations, conditions of sale and terms of payment are hereby merged with the terms of this agreement. 20th day of the month of september, 2018. Seller agrees to pay all expenses, including reasonable commission charges, incurred by buyer in making the purchase, and all costs and expenses of handling and shipping of the animal. It is understood that buyer is responsible for the delivery or re-delivery to buyer's residence of the animal as described. Buyer must pay all transportation costs of the animal on completion of this transaction at the expense of the buyer. The animal has no known or recorded history of a disposition outside the horse race track. As a result, this transaction is exempt from any state, county or municipal sales tax. In consideration for the sale of said horse, the parties agree a buyer may request the names of persons to whom the horse will be registered upon delivery and sale. Buyer may also be required to submit identification, evidence of identity to prove that horse is of adult status, etc. In accordance with all applicable laws. Buyer also agrees to fully cooperate in the investigations and litigation relating to the horse's disposition as a sale if deemed necessary by buyer, seller or any other purchaser of that animal. If buyer chooses to retain title, all fees related to registration will be paid to seller. If buyer wishes to retain title, the purchaser shall execute a statement with reference to fees and registration and submit to seller a complete copy of the signed statement by purchaser. The purchaser agrees that seller is not liable for any cost or expense incurred by the purchaser in connection with the registration of this horse as seller may have the ability to enforce a non-refundable registration fee. Seller is not liable, directly or indirectly, for any loss suffered by seller or any third party involved in this transaction arising out of any act or failure whatsoever of seller to perform the contract. Seller may take legal action to recover from buyer such amount as is equitable. This agreement is as effective as if executed at the time of sale. If a purchaser does not select to retain title, buyer hereby waives all rights of the purchaser to pursue such action against seller, sellerss attorneys and officers of seller/shipment company, and to recover such rights by injunction and other measures available to the purchaser to enforce the provisions of this agreement, save only that a purchaser may be permitted to retain title for a period of up to seven (7) days for an examination by an independent veterinarian, and thereafter buyer may take action at his or her option against seller. By selecting to retain title under this agreement, buyer hereby waives.
