Entertainment Booking Agreement This agreement is made as of _____________ (date) by and between _______________________ (Name of Martial Arts Promoter), a limited liability company organized and existing under the laws of the state of ______________, with its principal office located at ______________________________________________ (street address, city, state, zip code), referred to herein as Promoter, and __________________________ (Name of Owner of Venue), a corporation organized and existing under the laws of the state of ______________, with its principal office located at _____________________________________________________________ (street address, city, state, zip code), referred to herein as Venue Owner. Whereas, Promoter promotes mixed martial arts contests at various venues; and Whereas, Promoter supplies the mixed martial artists (hereinafter called MMA) in exchange for the consideration hereinafter described; Whereas, Venue Owner desires for Promoter to promote and coordinate mixed martial arts contests at its venue located at ___________________________________ _________________________________ (street address, city, state, zip code), hereinafter called the Venue; and Whereas, Promoter is willing to promote such mixed martial artists contests at said Venue pursuant to the terms of this Agreement; Now, therefore, for and in consideration of the mutual covenants contained in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Promotion: Promoter shall promote and coordinate martial artists contests at said Venue on __________________ (date), beginning at ____________ (time) and ending at approximately _______________ (time). Said contests to be performed on said date is hereafter referred to as the Event. 2. Mixed Martial Artists: The names and addresses of the MMA who will compete at the Event are set forth in Addendum A. Promoter reserves the right to substitute another qualified MMA due to injury of illness of the MMA named in Appendix A. 3. Responsibilities of Venue Owner
: venue owner is responsible and obligated for all events held by promoter at said venue, including, but not limited to, booking and paying the qualified MMA fighters for each event at said venue at the rates set forth in addendum a. Each payment made by venue owner must be in full and timely and in the same form as specified in appendix a, together with a full and accurate deposit to cover all actual costs, and any necessary or agreed-upon insurance, except that venue owner is only obligated to pay any reasonable and agreed-upon administrative or hotel expenses (hereinafter referred to as “extra") associated with said events. 4. Limitations: venue owner shall not provide any extra items other than for the venue's normal operating expenses; provided that venue owner is not required to provide any other items for the event itself, but rather, may provide any item deemed necessary to properly, efficiently and efficiently manage such event. Venue owner shall remain in full control of and responsible for the event, as determined by venue owner and promoter in their sole discretion. 5. Provision of information: venue owner shall provide each paid MMA fighter with a receipt or other document indicating and documenting their compensation for said event. Venue owner shall ensure that each paid MMA fighter's name, address, and age will be entered in an official record. 6. Remuneration: each and every paid MMA fighter is entitled to receive the standard rate of per diem for all events booked by promoter at said venue by the time stated in addendum a. Upon request, venue owner will also pay applicable hotel and travel expenses (hereinafter referred to as “extra"). Venue owner must pay for all taxes, fees and other amounts charged by venue operators, and also pays each MMA fighter for transportation expenses (subject to section c), and is additionally responsible to cover any additional costs related to lodging (, additional taxes, insurance, and any other applicable expenses) related to the booking of said MMA fighters. 7. Event registration: promoters will retain all event information for use in promotion and promotion of each and every mixed martial artist event at said venue; and said information will not be disclosed to the public without the written consent of promoter. Any further disclosures to the public about the terms and conditions of said promotion shall be made by promoter and venue owner in said event-related promotional materials. 8. Venue: venue owner recognizes that it is fully liable for all injuries, or death, or other loss or damage resulting from or arising out of said event,
