Fill and Sign the Notice of Filing of a Proposed Rule Change to Amend the Certificate of Form

- 1 - PROPOSAL TO AMEND THE CERTIFICATE OF INCORPORATION TO CHANGE THE CORPORATE NAME The Board believes that the proposal to amend the Company's Certificate of Incorporati on to change the corporate name is In the best interest of the Company and recommends a vote FOR approval of the proposal. Proxies received by the Board will be so voted unless stockholders specify otherwise on their Proxy card. Proposed Amendment The Company's Board has adopted, and is recommending to the stockholders for their approval at the Annual Meeting, a resolution to amend Article First of the Company's Certificate of Incorporation to change the corporate name. The applicable text of the Board's resolution is as follows: "RESOLVED, that Article First of the Company's Certificate of Incorporation be amended to read in its entirety as follows: "FIRST: The name of the corporation is: CORE TECHNOLOGIES (PENNSYLVANIA), INC." In the judgment of the Board of Directors, the change of corporate name is desirable in vi ew of the significant change in the character and strategic focus of the business of the Company re sulting from the recent acquisitions of Airo Clean, Inc. and Maris Equipment Company, Inc. These acquisitions were pa rt of a strategic corporate program to diversify the Company's business operations into areas with higher growth potentia l than office furniture, but in which there are opportunities for collaborative product development and marketing with the office furnishings business. The Board is also proposing to realign the Company's corporate structure to comport with it s new business organization by transferring the Company's assets and liabilities related to t he office furnishings business to a wholly owned subsidiary of the Company to be organized for that purpose with the resul t that the Company would become a holding company. See Proposal III below. Approval of Proposal III is not a condition precedent to the adoption of the proposed name change. If the proposed name change is adopted, it is the intent of the Company to use the tra de name Core Technologies in its communications with stockholders and the investment community a nd to continue to use the name CenterCore to conduct its office furnishings operations. If the amendment is adopted, stockholders will not be required to exchange outstanding stock certificates for new certificates. Approval by Stockholders - 2 - Approval of this proposal requires the affirmative vote of a majority of the outstanding shares of Common Stock of the Company entitled to vote at the Annual Meeting. If approved by the st ockholders, the amendment to Article First will become effective upon filing with the Secretary of the State of Delaware a Certificate of Amendment to the Company's Certificate of Incorporation, which filing is expected to take place shortly after the Annual Meeting. However, the Board of Directors will be authorized, without a further vote of the stockholders, to abandon the name change and determine not to file the Certific ate of Amendment if the Board concludes that such action would be in the best interest of the Company and it s stockholders. If this proposal is not approved by the stockholders, then the Certificate of Amendment will not be filed.
