Page 1 of 2 MINERAL OWNER’S SUBORDINATION (Of Rights to Make Use of Surface Estate) STATE: COUNTY: MINERAL OWNER: (Name and Address) SURFACE OWNER: (Name and Address) EFFECTIVE DATE: Mineral Owner, named above, is the owner of an undivided mineral interest in the oil, gas, and other minerals in, on, and underlying the following lands (the “Lands”) in the county and state named above: (Description of Lands, under which Mineral Owner owns Interest, that are the Subject of the Subordination) Surface Owner, named above, is the owner of the surface estate in the Lands. Mineral Owner and Surface Owner acknowledge that Mineral Owner’s ownership of a part of the mineral estate in the Lands grants Mineral Owner the right to make use of as much of the surface estate of the Lands as is reasonably necessary to explore for, develop, and produce oil, gas, or other minerals in, on, and underlying the Lands. Mineral Owner’s rights extend to any of Mineral Owner’s lessees. Mineral Owner’s undivided mineral interest in the Lands is not currently subject to or included in any oil, gas, or mineral lease. Surface Owner desires to acquire from Mineral Owner the absolute and exclusive right to use the surface of a part of the Lands (the “Subordinated Tract”) without the possibility of Mineral Owner, or Mineral Owner’s lessee, entering on or using the surface of the Subordinated Tract for purposes of exploring for, developing, or producing oil, gas, or other minerals. The Subordinated Tract is described as follows: (Description of Subordinated Tract) For adequate consideration, Mineral Owner subordinates, surrenders, relinquishes, and conveys to Surface Owner all of Mineral Owner’s rights to make use of the surface estate of the Subordinated Tract, which rights arise from Mineral Owner’s mineral ownership. This subordination does not preclude, and mineral owner reserves, the right to produce oil, gas, or other minerals from the Lands so long as the exploration for, developments and production of the oil, gas or other minerals does not require the use of the surface of the Subordinated Tract. Mineral Owner acknowledges this relinquishment of the right to utilize the surface of the Page 2 of 2 Subordinated Tract constitutes a grant of a part of Mineral Owner’s rights of ownership and of enjoyment of the mineral estate in the Subordinated Tract. This conveyance, subordination, and relinquishment shall be deemed a covenant running with the land and shall be binding on Mineral Owner, and Mineral Owner’s heirs, successors, assigns, and lessees.
