For and in consideration of the payment by Company to Owner of the sum of $ _____________________ , the covenants contained in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Owner agrees as follows: 1. Owner hereby consents to and authorizes the use and reproduction of the enclosed photographs or works of art created and/or submitted by me (the Artwork ) to Company. Company shall have the right to use the Artwork in all markets and media throughout the world, in perpetuity. 2. Company may videotape, photograph and electronically scan the Artwork during and in connection with the upload of the material to the Company’s on-line/interactive services. Owner hereby waives the right to inspect or approve any finished photographs or printed or electronic matter that may be used, now or in the future, whether that use is known to Owner or unknown, and Owner hereby waives any right to royalties or other compensation arising from or related to the use of the Artwork. 3. Owner represents and warrants that he/she is the sole owner of all rights in and to the Artwork and has full power and authority to grant all rights related to the Artwork, and has, if necessary, secured all rights, consents and permissions including but not limited to those of others appearing in the Artwork. Owner further represents that the Artwork does not violate any rights of any individual or entity and is not the subject of any litigation. 4. Owner hereby agrees to release, defend and hold harmless the Company, its agents, employees and successors, including any firm publishing and/or distributing the Artwork in whole or in part, whether on paper or via electronic media, from and against any claims, damages or liability arising from or related to the use of the Artwork, including but not limited to any misuse, distortion, blurring or alteration, either intentionally or otherwise, that may occur or be produced in the taking, processing, reduction or production of the finished product, its publication or distribution.
