DIRECTION FOR PAYMENT OF ROYALTY TO TRUSTEE (By Royalty Owners) State: County: Parties: (Name and Address) Trustee: (Name and Address) Effective Date: The Parties, named above, own royalty (the "Royalty Interests") in the following lands located in the county and state named above (the "Lands"): (Description of Lands) The Lands are subject to an Oil and Gas Lease (the "Lease") dated ____ , recorded in Volume ____ , page ____ of the ____ Records of the County in which the Lands are located. The Parties desire all payments which accrue from production of oil, gas, or related hydrocarbons from the Lands, subject to the Lease, attributable to the Royalty Interests, be paid to Trustee, named above. In consideration of the benefits which will accrue to each of them, the Parties stipulate, acknowledge, agree, and direct that all payments attributable to the Royalty Interests from production of oil and/or gas from the Lands by the terms of the Lease, are to be paid to Trustee at the above address. The Parties grant Trustee the authority to, and direct and authorize Trustee to, execute transfer orders, division orders, or any other documents required to be executed by any purchaser of oil and/or gas to receive payments attributable to the Royalty Interest s. The Parties appoint Trustee as their Agent and Attorney-in-Fact for this purpose. The Parties, in directing payment in this manner, stipulate, acknowledge, and agree that payments for production attributable to the Royalty Interests shall be deemed, for the purposes of the Lease and all other purposes, to be payment to each of the Parties. Additionally, the Parties agree to indemnify and hold harmless any purchaser of oil and/or gas from any claims, actions, lawsuits, or other liabilities which arise from the payment of the royalty interests i n the manner provided in this Direction for Payment. This Direction for Payment shall remain in effect until terminated in writi ng by any Party, which termination shall be filed of record in the county and state where the Lands are located.
