SALE AND PURCHASE AGREEMENT THIS AGREEMENT entered into and effective on the date set forth below between       (hereinafter referred to as "Seller") and       (hereinafter collectively referred to as "Purchaser") for and in consideration of the mutual covenants and agreements set forth herein. 1. Sale of Real Property . Seller agrees to sell and convey to Purchaser, and Purchaser agrees to purchase from Seller all of Seller's interest in that certain real estate located in       County, Mississippi, more particularly described in Exhibit A attached hereto and incorporated herein by reference, together with all easements, rights and appurtenances, all buildings and improvements now located on the property, and all of Seller's rights - of - way, title and interest in all public ways adjoining the property hereinafter referred to as "said real property"). 2. Sale of Personal Property . Seller also agrees to sell and convey to Purchaser, and Purchaser agrees to purchase from Seller all of Seller's interest in that certain personal property presently located on said real property, more particularly described in Exhibit B attached hereto and incorporated herein by reference (hereinafter referred to as "said personal property"). 3. Purchase Price . The total purchase price to be paid by Purchaser to Seller for both said real property and said personal property shall be       and       Dollars ($       ) (hereinafter referred to as "Purchase Price"). 4. Taxes and Assessments . Taxes and any special assessments assessed to the lot prior to the date of closing shall be pro - rated as of the Closing Date. 5. Commissions . Both parties agree and acknowledge that neither has employed or utilized an agent in connection with this transaction and that no commissions shall accrue or otherwise be payable as a result of this transaction. 6. Closing Costs . Seller shall pay all costs associated with the title search, preparation the warranty deed and bill of sale and recording fees. All other closing costs, if any, are to be paid by the Purchaser. 7. Title and Conveyance . Seller represents and warrants that he/she is the owner of said real property and said personal property and has all right, power and authority to transfer and assign his/her interest in same to Purchaser. At closing, Seller shall convey marketable and insurable title to said real property by general warranty deed, with a release of dower, courtesy, homestead and other spouse's rights, at Seller's sole cost and expense, subject only to current real estate taxes, not delinquent, and covenants, conditions, easements, encumbrances and restrictions approved by Purchaser in writing. The Seller shall furnish a certificate of Title prepared by an attorney upon whose certificate title insurance may be obtained from a title insurance company qualified to do and doing business in Mississippi. Reasonable time shall be allowed for preparation of and examination of title. Should examination of title reveal defects which can be cured, the Seller hereby obligates himself to cure same as expeditiously as reasonably possible, and to execute and tender a general warranty deed conveying an insurable title in accordance with the terms hereof. If said title defects cannot be cured within ten (10) days after the specified closing date, the Purchaser shall have the right to terminate this Agreement and being released from further obligation herein, or having Seller complete the curing of defects affecting the sale as expeditiously as possible. At closing, Seller shall also convey marketable title to said personal property by warranty bill of sale. 8. Closing . Closing shall take place on             , 20       . 9. Possession . Purchaser shall take possession of said lot on closing date. 10. Survival on Closing . All of the covenants, warranties, representations and agreements of this contract shall survive closing and delivery of the deed, and shall run with the land and extend to and be binding upon the heirs, executors, administrators, successors, and assigns of the respected parties. 11. Agreement of Parties . The parties agree that there are no oral or written agreements or representations between Seller and Purchaser affecting this contract, and this contract supersedes, cancels and incorporates any and all previous negotiations, arrangements, representations and understandings, if any, between the parties. This contract may be modified or altered only by an agreement in writing between the parties. Neither party has relied upon any statement or representation made by the other party or any sales representative bringing the parties together. Neither party shall be bound by any terms, conditions, oral statements, warranties, or representations not herein contained. Each party acknowledges that he has read and understands this contract. The provisions of this contract shall apply to and bind the heirs, executors, administrators, successors and assigns of the respective parties hereto and shall be governed and construed in accordance with the laws of the State of Mississippi. This agreement may be executed in any number of copies, each of which shall be deemed an original, and no other copy need be produced. All pronouns and any variations thereof shall be deemed to refer to the masculine, feminine, neuter, singular or plural as the identity of the person or persons may require. 12. Attorney's Fees . If it becomes necessary to insure the performance of the conditions of this contract by employing an attorney, then the defaulting party or parties agree to pay all reasonable attorney's fees and court costs connected therewith. 13. Notice . Notice required to be given under this Agreement shall be deemed to have been given when delivered to: SELLER:       PURCHASER:       14. Time of the Essence . Time is of the essence with this contract, but any defaulting party shall have ten (10) days after receipt of said Notice of Default to cure before the other party may minate or exercise other remedies under this contract.
