Subject to the terms, conditions, and covenants of this Agreement, Licensor licenses and permits Licensee to use portions of Licensor’s properties located in _____ County, _____, described as follows (the “License Areas”): (Description of Land) Subject to the terms, conditions, and covenants of this Agreement, Licensor licenses and permits Licensee to use and enjoy the License Areas for the construction, installat ion, maintenance, operations, alteration, repair, replacement, and removal of a pipeline with valves, tie-overs, and other appurtenant facilities for the transmission of natural gas (the “Permi tted Activity”). In consideration of the foregoing, license, and permission, Licensor and Licensee agree as follows: 1. The license shall be revocable only to the extent Licensee fails to observe or honor any term, condition, or covenant contained in this Agreement.2. The term of this Agreement shall be for _____ years beginning on the Effective Date stated above, and continuing through until the same date of the _____ year following the Effective Date. 3. Licensee shall operate and maintain the pipeline in an orderly manner and in c ompliance with all applicable laws, rules, and regulations.7. Licensor agrees that its activities shall not interfere with Licensee’s use of the License Areas and shall keep the areas clear for the free and full right of ingress and egress t o, over, and across the License Areas for Licensee’s intended purpose.8. All modifications and amendments to this Agreement must be in writing and executed by Licensor and Licensee in order to be effective.
