If all or part of the Work is, for any reason, deemed not to be a work made for hire, Designer agrees to execute all documents necessary to transfer to Owner the ownership of any and all rights Designer may have in the Work, including but not limited to copyrights. 4. Work paid to owner prior to receipt of notice of cancellation, in the proportion set forth in paragraph 5; 9. Work paid to designer for services rendered prior to receipt of notice of cancellation, in the proportion set forth in paragraph 4. (d) any fee paid during the first twelve (12) months from the effective date of notice of cancellation in lieu of the payments described in this paragraph shall be credited against the applicable percentage of termination fee. (e) any other payment to be made under this agreement on or after the effective date of cancellation shall be paid in six (6) months of the date of cancellation. The notice of cancellation shall set forth the amount of any such payment. (f) the above quoted provisions of this agreement shall be severable if both parties do not want to remain in such agreement under any conditions, after a written cancellation is granted, but prior termination is granted. For purposes of this section, the term “work" shall include a sound recording or other tangible item of work, or any right, title, or interest in one which is fixed in any tangible medium of expression, and shall encompass any form of expression in any medium, including but not limited to a book, paper, periodical, magazine, newspaper, website, brochure, website, television, radio, or movie. 10. “work made for hire" shall mean any work of authorship where the performer, creator, publisher, studio or another entity performing, creating, producing or publishing the work has.
