Work Made for Hire Agreement Page 1 of 3 Work Made for Hire Agreement Agreement made on the day of , 20 , between of , (Name of Owner) (Street Address, City, County, State, Zip Code) referred to herein as Owner, and , of (Name of Designer) , referred to herein as Designer. (Street Address, City, County, State, Zip Code) For and in consideration of the mutual covenants contained in this Agreement, and other good and valuable consideration, the parties agree as follows: 1. Owner has specially commissioned Designer to create the materials described in Exhibit A attached to this Agreement (the Work). 2. Designer agrees and acknowledges that the Work is a work made for hire, as that term is defined in Section 101 of Title 17 of the United States Code (the Copyright Act). As a work made for hire, the Work is the sole property of Owner. Owner has the unlimited and unrestricted right to reproduce the Work, to distribute the Work, to create derivative materials based on the Work, to publicly display the Work, to publicly perform the Work, and to transmit the Work digitally or by any other means. 3. If all or part of the Work is, for any reason, deemed not to be a work made for hire, Designer agrees to execute all documents necessary to transfer to Owner the ownership of any and all rights Designer may have in the Work, including but not limited to copyrights. 4. Do any or all of the acts set forth in paragraph 2. If this agreement terminates for any reason, the sole remedies for owner shall be as set forth in paragraph 5. 6. If owner cancels this agreement within fifteen (15) days of receipt of written notice of such cancellation, and if the cancellation is due to circumstances beyond either party's reasonable control or which were unavoidable under applicable law, and if the cancelling party gives written notice to the other party that it will accept full payment for all services rendered during the ten (10) business day period immediately following the effective date of notice of cancellation, that party shall retain its rights as sets forth in paragraph 5. 7. In the event of cancellation, the party cancelling payment shall pay the total fees of the contract for the services rendered by the designer for the time period not exceeding ninety (90) calendar days following the effective date of cancellation and shall return to the party receiving payment the following items, in the proportion hereinafter determined: 8. Work paid to owner prior to receipt of notice of cancellation, in the proportion set forth in paragraph 5; 9. Work paid to designer for services rendered prior to receipt of notice of cancellation, in the proportion set forth in paragraph 4. (d) any fee paid during the first twelve (12) months from the effective date of notice of cancellation in lieu of the payments described in this paragraph shall be credited against the applicable percentage of termination fee. (e) any other payment to be made under this agreement on or after the effective date of cancellation shall be paid in six (6) months of the date of cancellation. The notice of cancellation shall set forth the amount of any such payment. (f) the above quoted provisions of this agreement shall be severable if both parties do not want to remain in such agreement under any conditions, after a written cancellation is granted, but prior termination is granted. For purposes of this section, the term “work" shall include a sound recording or other tangible item of work, or any right, title, or interest in one which is fixed in any tangible medium of expression, and shall encompass any form of expression in any medium, including but not limited to a book, paper, periodical, magazine, newspaper, website, brochure, website, television, radio, or movie. 10. “work made for hire" shall mean any work of authorship where the performer, creator, publisher, studio or another entity performing, creating, producing or publishing the work has.
