SUBORDINATION BY LESSEE (Of Right to Use All or Part of Surface Estate) State: County: Lessee: (Name and Address) Surface Owner: (Name and Address) Effective Date: Lessee, named above, is the owner of the leasehold estate in the oil, gas and other minerals underlying the lands described below by virtue of the Oil and Gas Leases (the “Leases”) described in Exhibit “A” to this Subordination. The Leases are on, cover, and i nclude the following lands (the “Lands”) in the county and state named above: (Lands Covered by Leases) As owner of the leasehold estate, Lessee has the right to enter on the Lands and ma ke use of the surface of the Lands for exploration, drilling, and production activities in connect ion with its ownership of the leasehold estate in the Leases. Surface Owner, named above, is the owner of the surface estate in (All or Part) of the Lands and desires to obtain from Lessee a subordination of Lessee's rights to make use of t he surface on a part of the Lands covered by Lessee's Leases, to enable Surface Owner to develop the surface estate of that part of the Lands without the possibility that Lessee's operations will interfere with Surface Owners' development. For adequate consideration, Lessee subordinates its rights and interests under the terms of the Leases to the rights of the Surface Owner to make use of the surface estate in the following lands: (Description of Lands on which Lessee is Subordinating its Rights) As of the Effective Date stated above, Lessee binds itself, its successors and assigns, to not enter into or on, interfere with, or in any way affect the surface of that part of the Lands, described above, on which Lessee subordinates its rights to make use of the surface estate.
