Whereas, Lessor and Lessee have entered into a Lease Agreement dated       , (Date) by which Lessor has leased to Lessee the right and privilege of occupying and using for the purpose of       the Lessor's land and building located at (Describe Purpose)       (the Property ) described more particularly in (Street Address, City, County, State, Zip Code) Exhibit A attached hereto and made a part hereof; and Whereas, a provision of the Lease Agreement of       specifies that Lessee (Date) shall not assign or sublease the Lease Agreement or permit any other person to use the Property except with the written consent of Lessor; and Whereas, Lessee desires to sublease the Property to Sublessee for the purpose of       ; and (Describe Purpose) Whereas, Lessor is willing to consent to the Sublease as provided in this instrument. Now, therefore, for and in consideration of the mutual covenants contained in this Agreement, and other good and valuable consideration, the parties agree as follows: 1. Lessor hereby consents to the subleasing of the Property to Sublessee for the purpose described in this instrument, the sublease agreement to be subject to termination at any time on       days' written notice from any one of the parties to this instrument to the other (Number) parties. 2. Lessee shall remain bound to Lessor for all of the obligations assumed by Lessee in the said Lease Agreement, a copy of which is attached hereto as Exhibit B and made a part hereof, except for the Sublease Agreement consented to by this instrument. Lessee assumes the further Supplemental Agreement Page 1 of 2 obligation to Lessor to be liable to Lessor for the performance on the part of Sublessee of all of the terms and conditions in the Lease Agreement on the part of Lessee to be kept and performed. Sublessee shall be obligated to perform all terms and conditions of the Lease Agreement except payment of rental. The payment of all rental provided for in the Lease Agreement shall continue to be made by Lessee to Lessor. 3. Sublessee shall be liable for damage to any personal property on the Property owned by or under the control of Sublessee and will perform and be bound by all of the provisions of the Lease Agreement except the provision to pay rent to Lessor, as if Sublessee were the Lessee named in the Lease.
