Transfer of Title and Assignment of Equipment from Non-Profit Foundation including a Waiver and Release of Liability Agreement made on the ___ day of __________, 20___, between ___________________ of ________________________________________ (street address, city, county, state, zip code) , referred to herein as Donee, and _______________________ , a Foundation organized and existing under the laws of the State of _____________, with its principal office located at _______________________________ (street address, city, county, state, zip code) , referred to herein as Donor. Whereas, Donor is a Foundation organized and existing for the following purposes: (Briefly describe purpose of Foundation) Whereas, Donor d esires and intends to make a gift of certain equipment to Donee; Now, therefore , the undersigned Donor hereby gives, transfers, and delivers to Donee the following described equipment (herein referred to as Equipment) : (Description of Equipment) Donor warrants that it is the sole owner of said Equipment and it is distinctly understood by the undersigned that it is Donor’s purpose and intention to vest all the incidents of absolute ownership of the Equipment in Donee from this time forward. The undersigned Donor and Donee agree that Donor is donating said Equipment to Donee in its as is and present condition and makes no warranty as to the condition of the Equipment and that Donor waives any implied warranty of merchantability and/or fitness for a particular purpose. Donee does hereby release Donor, its directors, agents, officers, and employees from any liability which may or could occur by reason of the use of Equipment by Donee, including, but not limited to, any personal injury or property damage suffered by Donee or members of Donee’s family and/or Donee’s employees regardless of the cause or alleged cause of such personal injury or property damage. The undersigned Donee hereby agrees to indemnify and hold Donor harmless (as well as its directors, agents, officers, and employees) against loss (including reasonable attorneys = fees) from any and all claims of negligence, demands, rights, or causes of actions of any kind or nature that may hereafter at any time be made or brought by Donee, members of Donee’s family, and/or Donee’s employees, for any known or unknown, foreseen and unforeseen bodily or personal injuries, damages to property and consequences thereof, as direct or indirect result of using said Equipment.
