Trade Secret and Non-Disclosure Agreement for a Newly Hired Employee As a condition for __________________________ (the A Employee @ ) to become employed and/or as a condition of continued employment, Employee and __________________________ (the A Company @ ) agree as follows: Whereas, Company is prepared to disclose certain trade secrets which may include, but not be limited to, proprietary information, financial information, marketing strategy, creation of products, and related plans (the A Trade Secrets @ ), to Employee for the purpose of utilizing such Trade Secrets as part of Employee = s work efforts; and Whereas, Employee may create or assist in creating certain products, documents, programs, or other intellectual property (the A Work @ ); and Whereas, Company desires to protect the confidential nature of the Trade Secrets and the Work; Now, therefore, Company and Employee agree as follows: 1. Employee agrees that all Work arising out of his employment by the Company shall be and remain the exclusive property of the Company. 2. The Trade Secrets furnished pursuant to this agreement will be considered proprietary and will not be disclosed by the Employee to anyone anywhere without Company = s prior written consent. 3. Employee agrees to protect the confidentiality of the Trade Secrets and the Work and not to disclose them to any third party. 4. Employee agrees to use and exploit the Trade Secrets and the Work only for the Company = s business purposes and not to exploit them for the Employee = s business purposes. 5. Upon termination of employment the Employee shall promptly return to Company all materials documenting, describing or revealing such confidential Trade Secrets and the Work and shall not disclose same to any third party or use such information in future employment or self - employment. 6. In the event of any dispute relating to this agreement, the parties agree to jurisdiction and venue in any court of competent jurisdiction within the State of ____________________, United States of America, and agree that interpretation and enforcement of the agreement shall be in accordance with ___________________law. The parties further agree that violation of this agreement would cause immediate and irreparable harm to Company. 7. Nothing contained herein shall be deemed to create any employment relationship between Employee and Company other than an at - will relationship. 8. The parties agree that, if any part of these covenants are declared void or declared unenforceable for any reason, it shall be severed without affecting the validity of the balance of the covenants.
