To consider and vote upon a proposal by Farley Inc. ("Farley") to remove from office all of the current members of the Board of Directors; and 2. To nominate and elect 10 Directors to fill all vacancies created by the removal of Directors, each Di rector to hold office until the next annual meeting of shareholders and until a successor has been elected and qualified. The second item of business will be withdrawn if shareholders reject the Farley proposal to remove the current Board of Directors. Only shareholders of record at the close of business on January 6, 1989, are entitled to notice of and to vote at the meeting. This Notice and the accompanying proxy statement and form of proxy are first being mailed to shareholders on or about January 20, 1989.
