Agreement to Assign Lease to Incorporators Forming Corporation This Agreement is made this the _________ (date) , between _____________________ (Name of Assignor) , of __________________________ (street address, city, state, zip code) , referred to herein as Assignor , and __________________________ (Name of Incorporator One) of __________________________ (street address, city, state, zip code) , referred to herein as Incorporator One, and __________________________ (Name of Incorporator Two) of __________________________ (street address, city, state, zip code) , referred to herein as Incorporator Two , as the Incorporators of an organization to be incorporated under the laws of _____________________ (name of state), that shall have its principal place of business at _____________________ (street address, city, state, zip code). Whereas, Assignor entered into a Lease Agreement dated _____________________ (date) , as Lessee, with _____________________ (Name of Lessor) , of _____________________ (street address, city, state, zip code) , referred to herein as Lessor, for Premises (the Premises) described in Exhibit A attached hereto and made a part hereof; and Whereas, said Incorporators are in the process of forming a corporation to be known as _____________________ (Name of Corporation) , to conduct the business of _______________________________________________________________ (description of business); and Whereas, Incorporators desire the use of the Premises leased by Assignor for the operation of the corporate business; Now, therefore, for and in consideration of the mutual covenants contained in this Agreement, and other good and valuable consideration, the parties agree as follows: 1. If Incorporators complete the incorporation proceedings as required by law prior to _____________________ (date) , Assignor will assign all rights, title, and interest in the Lease Agreement to the corporation within _________ (number) days after completion of incorporation and the authorization for the corporate entity to commence operations. 2. The Assignment will be accepted by Incorporators on behalf of the corporation, and Incorporators will reassign the Lease Agreement to the corporation within _________ (number) days after assignment to the Incorporators. The corporation will subsequently perform all of the terms and conditions of the Lease Agreement that Incorporators are obligated to perform, including the payment of all rent required. 3. Incorporators are fully empowered to enter into contracts on behalf of and to accept rights, duties, and liabilities for the benefit of and to be performed by the corporation. Each of the Incorporators will be jointly and severally liable under the terms of this Agreement if the corporation is not completed and, as a result, Assignor incurs any damages. 4. If Incorporators fail to complete incorporation proceedings prior to _________ (date) , this Agreement shall be of no further effect, and Assignor shall then remain liable for all duties and responsibilities under the terms of the Lease Agreement.
