Copyright Security Agreement Executed in Connection with Loan Agreement This Copyright Security Agreement (this Agreement ) is made on this ____________________________ (date) , between ______________________________ (Name of Assignor) , a corporation organized and existing under the laws of the state of _________________________, with its principal office located at __________________ ________________________________________________________________________ ____________________ (street address, city, county, state, zip code) , referred to herein as Assignor , and __________________________________ (Name of Secured Party) , a corporation organized and existing under the laws of the state of ___________________, with its principal office located at ____________________________________________ ________________________________________________________________________ (street address, city, county, state, zip code) , referred to herein as Secured Party . Capitalized terms not otherwise defined in this Agreement have the meanings set forth in the Loan Agreement , dated __________________________________ (date) , between Assignor and Secured Party (the Loan Agreement) . Pursuant to the Loan Agreement , Assignor is granting a security interest to Secured Party in certain collateral, including the Copyrights (as defined below). Now, therefore, in consideration of the foregoing and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, Assignor and Secured Party agree as follows: 1. Grant of Security Interest A. As security for the full and prompt payment and performance when due (whether at the stated maturity, by acceleration, or otherwise) of all the Obligations, the Assignor grants, assigns, and transfers to Secured Party , a continuing security interest in all of the right, title, and interest of Assignor in, to, and under the United States copyrights and all registrations and applications to register the same in the United States Copyright Office, and all renewals of the same (the Copyrights ) more particularly set forth on Schedule A, which is attached to as Schedule A and incorporated in this Agreement by reference. B. The rights and remedies of Secured Party with respect to the security interest granted in this Agreement are in addition to those set forth in the Loan Agreement and the other Credit Documents. Each right, power, and remedy of Secured Party provided for in this Agreement, in the Loan Agreement, and in the other Credit Documents, now or later existing at law or in equity, shall be cumulative and concurrent and shall be in addition to every right, power, or remedy provided for in this Agreement. The exercise by Secured Party of any one or more of the rights, powers, or remedies provided for in this Agreement , in the Loan Agreement , and in the other Credit Documents, now or later existing at law or in equity, shall not preclude the simultaneous or later exercise by Secured Party of any or all other rights, powers, or remedies. 3. No Waiver The failure of either party to this Agreement to insist upon the performance of any of the terms and conditions of this Agreement, or the waiver of any breach of any of the terms and conditions of this Agreement, shall not be construed as subsequently waiving any such terms and conditions, but the same shall continue and remain in full force and effect as if no such forbearance or waiver had occurred. 4. Governing Law This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of __________________________. 5. Notices Any notice provided for or concerning this Agreement shall be in writing and shall be deemed sufficiently given when sent by certified or registered mail if sent to the respective address of each party as set forth at the beginning of this Agreement. 6 . Entire Agreement This Agreement shall constitute the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this Agreement shall not be binding upon either party except to the extent incorporated in this Agreement. 7. Modification of Agreement Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement shall be binding only if placed in writing and signed by each party or an authorized representative of each party. 8. Assignment of Rights The rights of each party under this Agreement are personal to that party and may not be assigned or transferred to any other person, firm, corporation, or other entity without the prior, express, and written consent of the other party. 9. Counterparts This Agreement may be executed in any number of counterparts, each of which shall be deemed to be an original, but all of which together shall constitute but one and the same instrument.
