Agreement Between Composer and Vocalist regarding the Recording of a Musical Agreement made on the ___ day of __________, 20___, between ___________________ of _________________________________ street address, city, county, state, zip code) , referred to herein as Composer, and ________________ of ____________________________________ (street address, city, county, state, zip code) , referred to herein as Vocalist. Whereas, Composer has written, recorded, and owns the copyright to, a musical entitled __________________ (name of musical) and needs the services of vocalists to make the final master recordings; and Whereas, Composer desires to retain the services of Vocalist for said master recordings; Now, therefore, for and in consideration of the mutual covenants contained in this agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Commencing on ________ ( date) and ending on or about __________ ( date) and subject to the direction, control and supervision of Composer or his designees, Vocalist agrees to furnish her personal services as a vocalist and musician to make the master recordings of the musical entitled ____________________ (name of musical). specified above at the _________________ (name and location of recording studio). Vocalist agrees to perform such services as Composer or his designees may designate from time to time at such location during the period of time stated aforesaid, and shall render all such services to the best of her ability. 2. Composer or his designees shall have all final approvals and creative control over the said recordings and all other elements in the production of the recordings including, but not limited to, all editing and audio "mixing" of the performance of Vocalist as embodied in the recordings. 3. As complete compensation for all services rendered by Vocalist and all rights granted by Vocalist to Composer , and conditioned upon full and faithful compliance of Vocalist with all of her obligations under this agreement, Composer agrees to pay Vocalist all applicable minimum union scale payments and _____________________ (any additional compensation) on or before _________________ (date). 4. Vocalist hereby grants to Composer , his assignees and designees all of the following rights: a. The exclusive and perpetual right throughout the world to reproduce, print, publish and disseminate, in any medium, the name of Vocalist (including any and all professional names previously or later used by Vocalist) , pictures, likeness, and any biographical information concerning Vocalist in connection with or related to any services performed by Vocalist under this agreement, for the purposes of trade, advertising or publicity, without limitation.. b. The exclusive and perpetual right throughout the world to record, film, tape, videotape, photograph, broadcast and transmit, by any means now known or later devised, all or any portion of the services and performances rendered by Vocalist under this agreement, and to reproduce, manufacture, distribute, exploit or otherwise use the services and performances in any manner, including but not limited to use on or in connection with (i) broadcasts, telecasts or other transmissions in any media, including radio and television; and (ii) motion pictures, and any other method, means or media, whether now known or later devised. 5. Without limiting the above, all right, title and interest in and to the recordings and the performances included on the recordings and derivatives of such recordings, and any items manufactured or derived from such recordings, shall from the inception of creation be the sole property of Composer , free from any claims by Vocalist or any other person. Composer shall have the exclusive right to copyright any of such recordings in its name as the owner and author and to secure any and all renewals and extensions of such copyright. For the purposes of any applicable copyright law, Vocalist shall be deemed an employee for hire of Composer . Composer shall have the unlimited perpetual right throughout the world to sell, market, transfer, or otherwise deal in any of the above recordings under any trademarks, trade names and labels. 6. Vocalist shall indemnify and hold Composer harmless against any claim, liability, damage, cost and expense (including reasonable legal fees) in connection with any claim which is inconsistent with any warranty, representation or agreement made by Vocalist under this agreement. Vocalist reimburse Composer upon demand for any payment made by Composer at any time after the date of this agreement in respect of any claim, liability, damage or expense to which the above indemnity relates. 7. This agreement contains the entire understanding of the parties relating to the subject matter and cannot be changed or terminated, except by an instrument signed by Composer and Vocalist . A waiver by either party of any term or condition of this agreement in any instance shall not be deemed or construed as a waiver of such term or condition for the future, or of any subsequent breach. All remedies, rights, undertakings, obligations, and agreements contained in this agreement shall be cumulative and none of them shall limit any other remedy, right, undertaking, obligation or agreement of either party. 8. In entering into this agreement, and in rendering services, Vocalist will be considered an independent contractor, and nothing contained in this agreement contemplates that Vocalist will be Composer’s employee or agent. Vocalist warrants and represents that Composer has no obligation to either (i) withhold any money payable in respect of any federal, state or local withholding tax or other similar tax or regulation; or (ii) provide Vocalist with any worker's compensation or disability insurance coverage 9. The validity, interpretation and legal effect of this agreement shall be governed by the laws of the State of ___________ with respect to the determination of any claim, dispute, or disagreement which may arise out of the interpretation, performance, or breach of this agreement. 10. Any dispute under this agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect.
