WITH COPY VIA FIRST CLASS MAIL Re:TERMINATION OF AGREEMENT (the “Franchise Agreement”) dated , 19 by and between (“Franchisor”) and (collectively referred to as “Franchise Owner”) Dear : By letter dated , 19 you were given formal notice of your defaults under the terms of the Franchise Agreement concerning your failure [to pay royalties] [to file gross sales report s] [list other defaults], which defaults have not been cured as of the date hereof. The Franchisor considers your actions to be a total breach of material provisions of the Franc hise Agreement, and Franchisor hereby terminates the Franchise Agreement and all of your rights there under including, without limitation, your rights to operate as a Franchise Owner, effective immediately. Pursuant to Paragraph [ ] of the Franchise Agreement, you are hereby notified that you must discontinue all use of trade names, trademarks, service marks, signs, forms of a dvertising and indicia of any association with Franchisor or of your operation of the Franchised Business. You are required pursuant to your continuing obligations under the Franchise Agreement, and demand is hereby made, that you return to Franchisor all documents, instructions, operating manuals, display i tems, and like material belonging to Franchisor. Your attention is also drawn to the remaining provisions of Paragraph(s) and of the Franchise Agreement regarding your post-termination obligations. Compliance with all of these obligations is hereby demanded. * Counsel must be careful to adapt default notice to specific provisions of franchise agreement, applicable State laws, and other applicable documents and policies. Form 7.02[2] 7022-2© STP FF 10/96 The enumeration of duties and obligations following termination of the Franchise Agreement set forth herein is not intended, nor should it be construed, to restrict the right of the Franchisor to e nforce any other provisions of the Franchise Agreement, or provisions of other agreements or any Guaranty, and the Franchisor specifically reserves its right to do so. The enumeration herein of grounds for default or grounds for termination under the Franchise Agreement, whether or not such additional defaults or grounds for termination are presently known to Franchisor. The termination of the Franchise Agreement is not intended, nor should it be construed, to restrict the right of the Franchisor to institut e appropriate proceedings at law or in equity to obtain relief resulting from your breach of the Franchise Agreement. In addition, Franchisor specifically reserves its right to seek to recover all amounts owed by you to Franchisor, damages for loss of the franchise and attorney’s fees and costs to the extent allowed by law.
