Continuing Guaranty of Business Indebtedness with Guarantor Having Limited Liability For valuable consideration, the receipt of which is acknowledged, and further in consideration of the credit given and subsequently to be given by ___________________ ____________________________________________ (Name of Bank) , a national bank, having its principal office at ________________________________________________ ________________________________________________________________________ ______________________________ (street address, city, county, state, zip code) , herein referred to as C reditor, to _________________________________________________ (Name of Obligor) , of _____________________________________________________ _____________________________ (street address, city, county, state, zip code) , herein referred to as Debtor , the undersigned, ________________________________________ (Name of Guarantor) , of ___________________________________________________ ________________________________________________________________________ __________________________ (street address, city, county, state, zip code) , guarantees to the C reditor, its assignees and transferees, the payment at maturity of all promissory notes, certificates of deposit, checks, drafts, acceptances, overdrafts, and other indebtedness of any nature on or for which the Debtor is now or may later become obligated to the C reditor whether as maker, acceptor, drawer, endorser, guarantor, surety, or otherwise, and all notes or other evidences of indebtedness or liability previously or subsequently purchased or acquired from Debtor by the C reditor and endorsed by the Debtor to the C reditor , with or without recourse, whether the notes or other evidences of indebtedness or liability so made or so incurred or so purchased and acquired be retained by the C reditor or transferred before or after maturity, with or without recourse. The undersigned hereby waives notice of acceptance of this Guaranty by the C reditor as to present and future obligations, indebtedness, and liability of the Debtor to the C reditor of the character above mentioned. The undersigned does hereby further waive presentment, demand, protest, notice of protest, and notice of dishonor as to each and all items constituting the indebtedness or obligation guaranteed by this Guaranty. No renewal or extension of time of payment of any such item shall affect my liability under this Guaranty, whether made before or after written notice of revocation of this Guaranty is given. This Guaranty is given by me without regard to any security or otherwise, and shall be effective as to any of the notes or other evidences of indebtedness or liability as if no other guaranty or security had been for the same. The undersigned does hereby authorize the C reditor to forward any and all collaterals which it may from time to time hold as security for the indebtedness guaranteed by this Guaranty, to the Debtor for collection and remittance or for credit. There undersigned further agrees that no exchange, release, or surrender of any such collateral and no release or discharge of any party liable on the same shall affect my liability on this Guaranty, and I waive all rights of subrogation to any securities and remedies of the C reditor until the entire indebtedness of the Debtor shall be fully discharged. This is an absolute and continuing guaranty and is not conditioned on any other person or party signing the same. It shall as to me continue in full force and effect notwithstanding the debt, withdrawal or release of any co-guarantor or co-surety, both as to obligations of the Debtor then existing of the character here guaranteed and subsequently created. My liability under this Guaranty shall not exceed $______________ principal, together with interest that may accrue on the same, although the notes or other evidence of indebtedness or liability of the Debtor to the C reditor and for the notes or other evidences of indebtedness or liability so purchased or acquired from the Debtor by the C reditor may exceed such amount. In case of default in the payment of any indebtedness or liability guaranteed by this Guaranty, there shall be added to such indebtedness or liability, and I shall pay, all expenses, costs, and attorney fees incurred by C reditor either in collecting or attempting to collect the same or any sums payable under this Guaranty. My liability on this Guaranty shall remain in full force and effect until written notice of revocation or written notice of my death shall have been actually received by the C reditor , and such notice shall not affect my liability under this Guaranty as to any and all obligations and indebtedness of the Debtor created before the receipt of such notice, and any renewals of the same. Nothing shall affect my liability or the liability of my heirs, executors, and assigns on this Guaranty except the receipt of such written notice or the cancellation and surrender of this Guaranty by C reditor.
