Contract for Exhibition Space at a Convention

1. Holding of Convention
Association shall hold its annual convention beginning ___________________ (date) , at
__________________________________________ (address of convention) , and shall make
the arrangements and program of such convention, and shall conduct a (describe type of

convention, substantially in accordance with the provisions of this Agreement, at (describe

hereinafter called the exposition facility .
2. Exhibit Space
Association shall provide at exposition facility for the use of Exhibitor the following

facility attached to this Agreement as Exhibit A , and incorporated and made part of this
Agreement by reference. In this space Exhibitor shall be permitted to exhibit, during the time of

such space without the prior, express, and written consent of Association .
3. Charges for Use of Space
In consideration for the use of such space, Exhibitor shall pay to Association

4. Failure to Hold Convention or Provide Space
Should Association fail to hold its convention as provided in this Agreement, or to furnish
to Exhibitor the space described in this Agreement, it shall promptly refund to Exhibitor all sums
paid under this Agreement, and such refund shall be accepted by Exhibitor in full settlement of
all loss or damage suffered by Exhibitor on account of such failure to hold the convention.
5. Management and Supervision
The exposition shall be governed by the rules and regulations issued by Association.
6. Installation of Exhibits
A. All exhibits must be fully installed by ____________ (time) on _______________
(date) . After this hour no installation work will be permitted without special permission from the
management. Exposition facility will be available to Exhibitor s on the morning of
______________________ (date) , for installation work.
B. Exhibitor shall not place articles in front of other booths or install any decoration
exceeding __________ (number) feet in height. No perpendicular obstruction over _________
(number) feet in height shall extend forward more than __________ (number) feet from the
back wall, and none over _________ (number) inches in height shall extend forward for the
remaining __________ (number) feet to the front of booth.
C. All exhibits must be confined to the limits of the Exhibitor 's space, as indicated on
the diagram labeled Exhibit A , attached to this Agreement.
7. Hours of Convention and Exposition

(date) , following the annual banquet. The morning sessions are scheduled between _________
(time) and _________ (time) , and the afternoon sessions are scheduled between _______

each day. All exhibits must remain intact until ________ (time) on ________________ (date) ,

8. Irregular Advertising
The exposition is limited to those persons, firms, corporations, and other entities that
have contracted and paid for exhibit space in exposition facility. No other persons, firms,
corporations, or other entities will be permitted to demonstrate products, solicit orders, or
distribute advertising matter on the floor of the convention or in exposition facility. Any person
violating this rule will be promptly ejected from the convention hall.
9. Attendance of Non-Exhibitors
Association will, on the request of Exhibitor s, invite non-exhibiting dealers and
manufacturers to attend the exposition on the last day, ________________ (date) , from
_________ (time) to _________ (time) for the purpose of familiarizing themselves with the
exhibit material and not for the purpose of solicitation. Requests to Association to issue such
invitations must be received by _________________ (date) .
10. No Raffles
No Exhibitor shall conduct a raffle or similar activity.
11. Assignment and Use by Others
No Exhibitor may assign its Agreement for exhibit space or permit any other person to
use any part of such space.
12. Booths
A. Association shall erect exhibition booths of uniform style, according to indications
on diagram at (designate location) _______________________________________________
and will provide name signs and booth numerals.
B. Association shall provide for the removal from the booths, storage during the
period of the convention, and return to the booths at the close of the convention, of Exhibitor 's
packing boxes and crates, at no cost to Exhibitor .
C. Association shall arrange for the sweeping of the exhibition booths, as well as for
the cleaning and maintenance of other portions of exposition facility at no cost to Exhibitor .
13. Badges
A. The badges of the members and delegates to the (describe association)
__________________________________________________ . Convention will show the name
and Association connection of the wearer. Delegates and members' badges will have white
inserts.
B. Exhibitor s also will be furnished with badges and will be required to wear them
whenever in the exposition facility. Exhibitor s' badges will be (describe color) ______________
________________________ to avoid confusion with the badges of the delegates.
14. Use of Live Models and Sound Demonstrations
A. Live models will be permitted only in costumes approved by Association .
B. Motion pictures and other audio-visual demonstrations will be permitted only in
those locations and in such sound intensity as, in the opinion of Association , do not interfere
with the activities of neighboring Exhibitor s.
15. Liability
A. Each Exhibitor must make provision for the safeguarding of its goods from the
time they are placed in its booth until they are removed by the Exhibitor . Special security
personnel will be employed for the convention, but Association will not be responsible for, or
guarantee to Exhibitor , the safety of exhibit material against fire, accident, theft, or any loss or
injury whatsoever.
B. It is agreed that Exhibitor shall assume all liability for damage to exposition
facility caused by its exhibit, and shall indemnify Association from and against any liability that
might ensue by reason of its exhibit or presence at the Association convention.
16. Failure to Pay for or Occupy Space
A. If the space assigned to Exhibitor is not fully paid for by ____________________
(date) , Association may, at its option, terminate this Agreement and reassign the space to
another Exhibitor .
B. If Exhibitor does not claim or occupy it assigned space before ___________
(time) on __________________ (date) , Association may, at its option, terminate this
Agreement and reassign the space to another Exhibitor .
C. In neither case shall the defaulting Exhibitor be entitled to the refund of any sums
paid in advance to Association in partial payment for such space.
17. No Waiver
The failure of either party to this Agreement to insist upon the performance of any of the
terms and conditions of this Agreement, or the waiver of any breach of any of the terms and
conditions of this Agreement, shall not be construed as subsequently waiving any such terms
and conditions, but the same shall continue and remain in full force and effect as if no such
forbearance or waiver had occurred.
18. Governing Law
This Agreement shall be governed by, construed, and enforced in accordance with the
laws of the State of ______________.
19. Notices
Any notice provided for or concerning this Agreement shall be in writing and shall be
deemed sufficiently given when sent by certified or registered mail if sent to the respective
address of each party as set forth at the beginning of this Agreement.
20 . Mandatory Arbitration
Any dispute under this Agreement shall be required to be resolved by binding arbitration
of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one
arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall
arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration
Association then in force and effect.
21. Entire Agreement
This Agreement shall constitute the entire agreement between the parties and any prior
understanding or representation of any kind preceding the date of this Agreement shall not be
binding upon either party except to the extent incorporated in this Agreement.
22. In this contract, any reference to a party includes that party's heirs, executors,
administrators, successors and assigns, singular includes plural and masculine includes
feminine.
