Contract for Installation and Maintenance of Sprinkler Signaling System This Agreement is made this the       day of _______       , 20       between      ________________________   (hereafter referred to as A Client @ ), who operates a business at ________________________________________        (street address, city, state) and      ________________________   ( A Contractor @ ) of ____ ________________________         ( Street Address, City, State ), for equipping the ________________________        (Name and Location of Building) owned and operated by Client with an approved system of fire extinguishing apparatus. For the consideration specified below, the Contractor and Client agree as follows: 1. Automatic Central Station Signaling System Contractor shall equip the sprinkler system now installed in the premises of Client      ________________________   (street address, city, state) with an automatic central - station signaling system that will indicate, by signal to the central office of Contractor, any flow of water from any part of the sprinkler system. Upon receipt of such a signal, Contractor will immediately transmit an alarm to Client. 2. Operation of System Contractor will in all respects operate such sprinkler system subject to the terms and conditions of this Agreement as well as the rules of the ________________________        (e.g., State Fire Marshal or such other state, county, or city having jurisdiction) . 3. Installation of Devices Client agrees that there may be installed and Contractor agrees to install in the above - stated premises signaling devices on all shut - off valves, water flow signaling devices on all wet alarm valves, manual fire alarm boxes, and transmission boxes and wired connections necessary to transmit signals to Contractor = s central station, all as required by      ________________________   (e.g., State Fire Marshal or such other state, county, or city having jurisdiction) ; provided, however, that Client agrees to replace, at its sole expense, all wet and dry valves now installed which would not be acceptable to such      ________________________   (e.g., State Fire Marshal or such other state, county, or city having jurisdiction) ; when equipped with the contractor = s signaling devices. 4. Payment Client agrees to pay the sum of ________________________        Dollars ($      ______   ) upon completion of the installation of the sprinkler supervisory system by contractor and to pay in addition as rent for the sprinkler supervisory service of the Contractor the sum of ________________________        Dollars ($ ____________        ) annually in advance for a period of __        years from date such equipment is installed and approved by      ________________________   (e.g., State Fire Marshal or such other state, county, or city having jurisdiction) . Thereafter, Client shall pay the sum of ________________________        Dollars ($ ____        ) annually in advance during his ownership or occupancy of the above - stated premises for ________________________       years, at which time this agreement shall expire and title to all apparatus and connections installed under this agreement shall become the sole property of Client. 5. Payment for Changes or Additions If the above - mentioned ________________________        (e.g., State Fire Marshal or such other state, county, or city having jurisdiction) requires any changes or additions in the above - stated equipment, Client shall, on demand, pay to Contractor, its agents or assigns, the costs of any changes or additions made necessary in the equipment of Contractor. If any additional signaling devices are required, Client agrees to pay annually in advance in addition to the above rental, the sum of ________________________        Dollars ($ ____        ) per device installed. 6. Electrical Current Client shall furnish free of all cost to Contractor the necessary electrical current for operating the transmitters of Contractor. 7. Title to Equipment All apparatus and connections installed under this agreement are and shall remain the sole property of Contractor during the term of this agreement. 8. Entry on Premises Client hereby authorizes Contractor, its agents or assigns, to enter the above - stated premises and make inspections, tests, and repairs, and to remove the apparatus and connections upon the termination of this agreement by lapse of time, default in the payment of any installment of rent, or otherwise, but the removal of the apparatus and devices shall not be held to constitute a waiver of the rights of Contractor to collect any rentals or charges that may have accrued under this agreement. 9. Contractor Not Insurer It is agreed by and between the parties to this agreement that Contractor is not an insurer. The rates specified above are based solely on the value of the service in the operation of the sprinkler system described. In case of failure to perform such service and a resulting loss, Contractor = s liability under and pursuant to this agreement shall be limited to the sum of      ________________________   Dollars ($ ______        ) as liquidated damages, and not as a penalty, and this liability shall be exclusive. 10. Entire Agreement This agreement constitutes the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this agreement shall not be binding upon either party except to the extent incorporated in this agreement. 11. Governing Law It is agreed that this agreement shall be governed by, construed, and enforced in accordance with the laws of the State of ________________________       .
