EMPLOYMENT AGREEMENT(General) This Employment Agreement is between _____________________________, a _____________________________corporation (the "Employer"), and the individual whose name appears on the signature page to this Agreement (the "Employee"). Employee acknowledges and agrees that Employer has required Employee to enter into this Agreement and agree to its terms and provisions, including, in particular, Articles III and IV below, as a condition to Employer's employment of Employee. ARTICLE I Employee agrees to be employed by Employer, and Employer agrees to employ Employee , for the purpose of performance by and on behalf of Employer of those services as may be reasonably requested from time to time by Employer. Employee will commence work for Employer not later than _____________________________. During the period from the date of this Agreement until _____________________________, Employee's employment may not be voluntarily terminated by Employer or Employee; provided, however, should Employee die or become physically or mentally unable to perform (his/her) duties at any time, Employe r may terminate Employee's employment without notice. At any time after _____________________________, Employee's employment under the terms of this Agreement may be voluntarily terminated by Employee or Employer upon _____________________________ days prior written notice by either party to the other, without the payment of severance pay of any kind. ARTICLE II Commencing on the date Employee actually begins (his/her) employment and during Employee's employment, Employer shall pay Employee the compensation specified on Exhi bit "A" to this Agreement. Employer and Employee recognize and agree that _____________________________ (________) percent of the compensation specified on Exhibit "A" shall be allocated to the covenants of Employee contained in Articles III and IV of this Agreement. Employer shall also reimburse Employee for all authorized expenses incurred or paid by Employee in connection with the performance of Employee's services under this Agreement , upon presentation of expense statements or vouchers, and such other supporting information as Employer may from time to time require or request. ARTICLE III Employee recognizes and agrees that the business of Employer and its business interests require a confidential relationship between it and its employees and the fullest practical protection and confidential treatment of its trade secrets, trade practices, prospects, transac tions, customers and other knowledge of the business which will be or have been conceived, developed, or learne d by Employee during Employee's course of employment with Employer. Employee recognizes and agrees that he will acquire special training or knowledge from Employer which would othe rwise not be available to or acquired by Employee. Accordingly, Employee agrees that during Employee's term of employment with Employer and for a period of _____________________________ after that time, Employee will: (1) Keep secret and confidential all information, trade secrets, trade practices, prospects, transactions, customer lists, and business practices of Employer; (2) Not use or aid others in using, directly or indirectly, the same in competition with Employer; and, (3) Not contact or solicit the customers, employees, brokers, salesmen, investors or competitors of Employer in any manner which relates to any business engaged in by Employer. Employee acknowledges and agrees that all inventions, ideas, prospects or processes or other results of the efforts of Employee's employment by Employer which are conceived, invented or developed, in whole or in part, by or with the assistance of Employee during Employee's employment with the Employer shall be the sole and exclusive property of the Employer, and Employee shall, upon request by the Employer, at any time, execute assignments or other similar documents of all of them in favor of Employer. ARTICLE IV Employee agrees that while (he/she) is employed by Employer, and for a period of _____________________________ after that time, Employee will not, directly or indirectly, own, operate, participate in, undertake any employment with, or have any interest in any business enterprise having an office within the State of _____________________________, which is competitive with any business engaged in by the Employer during Employee's employment by Employer. During (his/her) term of employment (he/she) shall devote (his/her) full business time and best efforts to the business and affairs of Employer. ARTICLE V Employee and Employer acknowledge that damages are an inadequate remedy at la w for the breach of the terms of this Agreement. As a result, Employer is granted and shall have the right of injunction (any requirements for posting of bonds for injunction are expressly waived by Employee) and such other and further relief, both in law and in equity, as Employer ma y be entitled to receive under the laws of the State of _____________________________, in the event Employee breaches or threatens to breach any of the covenants or agreements contained in this Agreement. In the event any provisions of this Agreement shall be modified or held ineffective by any Court, in any respect, that adjudication shall not invalidate or render ineffec tive the balance of its provisions, and the remaining provisions shall be enforced to the maximum extent allowe d by law. This Agreement shall be governed by the laws of the State of _____________________________ and shall be enforceable in _____________________________ County, _____________________________. This Agreement shall be binding on and inure to the benefit of the Employer and Employee and their respective successors, assigns, heirs and personal representatives. This Agreement may not be amended except by a written agreeme nt executed by Employer and Employee which makes specific reference to this Agreement.
